4、edtoas“COMPANY)andCairoDrillingCompany(SBDC)zacompanyorganizedunderthelawsofEgypt,withofficeslocatedat8,AbdRaofSt,offElGazayerStreet,NewMaadi7Cairo,ArabRepublicofEgypt(HereinafterreferredtoastheCONTRACTOR).本合同由阿拉曼石油公司，该公司依照埃及法律组建并存续(以下简称公司)和开罗钻井公司，该公司依照埃及法律组建并存续，其办公地址位于开罗，新迈阿迪区，阿尔及利亚大道附近的拉欧伏街8号(以下简称

6、SzCONTRACTORisengagedinthebusinessofdrilling,deepening,workingoverztestingandcompletingand/orpluggingandabandoningonshorewellszandCONTRACTORrepresentsthatithasadequateresourcesandequipmentingoodworkingorderandfullytrainedpersonnelcapableofefficientlyoperatingsuchequipment;andisreadyzwillingandableto
7、drillzdeepen,workover,testandcomplete,and/orplugandabandonthesaidwell(s)andcarryoutauxiliaryoperationsandservicesfortheCOMPANYinaccordancewiththeCOMPANY*Sdrillingprogram(hereinaftertheWork)andtofurnishforthispurposetheZJ-50DRig,completewiththedrillingequipment(hereinaftertheRig)andpersonnel,asspecif
8、iedinAppendixAandBmadeparthereof;鉴于：承包商是从事陆地钻井、加深井、修井、试井、完井、填井或弃井的专业钻井公司，并陈述：承包商具有充足的资源，良好的设备，高素质的人员，愿意并有能力根据公司的钻井设计(以下简称工作)，按本合同附件A和附件B的约定提供ZJ-50D全套钻机设备(以下简称钻机)和人员，完成上述施工工作和辅助的施工、服务。NOW7THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinafterprovided,thePartiesherebymutuallyagreeasfoll
9、ows:因此：双方互相立约，特此达成协议如下：ARTICLE I DEFINITIONS第一条定义Clause1.1CommencementDate开工日期CommencementDatemeansthedateandtimeofarrivaloftheRigatthefirstwellorotherlocationspecifiedbyCOMPANY,providedCONTRACTOR,Sfullcrewisinallrespectsreadytospudandsustaincontinueddrillingoperationsatmanufacturersratedspecificati
10、onduringtheContractPeriodasdefinedbelow.CONTRACTORshallnotifyCOMPANYinwritingimmediatelyupontheRigsarrival.开工日期指的是钻机到达公司的第一口井井场或指定的其它井场，承包商各个岗位人员齐备，从各方面都已具备开钻水平，并在以下规定的合同期间内，以钻机制造商标定的技术规范，达到能够进行持续施工状态的时刻。钻机一旦到达井场，承包商应立即以书面形式通知公司。ARTICLE II OBJECTzDURATION,TERMINATIONOFTHECONTRACT第二条合同的目标、期限和终止Clause
11、 2.1 Object目标CONTRACTORshalldrill,deepen,workover,completeandtest,and/orplugandabandonsuchwell(s)asCOMPANYrequireshereunder,including,butnotlimitedtozfour(4)firmwell(s)atonshorelocations(hereinafterreferredtoastheAreaofOperations)intheArabRepublicofEgypt,tobedesignatedbytheCOMPANYorCOMPANYSassigneeA
12、ffiliate.按照公司要求，承包商在阿拉伯埃及共和国陆地施工现场(以下称施工区)施工(钻井、加深、修井、完井、试井或堵塞、弃井)，由公司或其受让的关联公司指定的4口确定井，(包括4口井，但不限于4口井)。Clause 2.2 Duration2.2合同期限2.2.1 FirmWells:确定井CONTRACTOR,atCOMPANY*Sdirection,shalldrillfour(4)firmwellsatthelocationdesignatedbyCOMPANY.按照公司的指令，承包商在公司指定的现场施工4口确定井。2.2.2 Optionalwells:待定井CONTRACTOR
13、shalldrillfour(4)optionalwellsafterfour(4)firmwellsatCOMPANYSoptionsubjecttothefollowing:完成4口确定井的施工后，承包商为公司施工4口待定井，这取决于以下情况：a) COMPANYshallgiveCONTRACTORawrittennoticeindicatingitsexercisingofitsoptionthatCONTRACTORmakesRigavailabletodrilloptionalwellsatCOMPANYSdesignatedlocations,subjectto(b)hereun
14、der.D公司书面通知承包商，表明其施工4口待定井的决定。承包商的钻机能够在以下2）款条件下动迁到公司指定的待钻井井场。b) CONTRACTORshallmaketheRigavailabletodrillatCOMPANY*Slocation(s)afteronemonthfromthedateofthesaidnotice,oruponthedateofthefirstreleaseoftheRigfromanythirdpartycurrentoperationswhicheverdateislater.2)承包商接到公司上述通知一月后或其钻机一旦从当前施工的任何第三方释放，以迟后的日
15、期为准，承包商能够将钻机动迁到公司指定的井场。Clause 4.5 Equipment,PartsandServicestobeSuppliedByCOMPANY公司提供的设备、零部件和服务COMPANYshalltimelyprovidetheequipment,supplies,services,andpersonnelandcarryoutalloperationsshowntobeprovidedbyitinAppendixC,zwhichisattachedheretoandmadeaparthereof,subjecttotheprovisionsofthisContract.Re
16、plenishmentofCOMPANYsupplieditemswillbeitsresponsibilityandforitsownaccount.AnyServicesorMaterialsrequestedbyCONTRACTORandfurnishedbyCOMPANYshallbepaidbyCONTRACTORatcostplus10%overhead.公司应及时提供附件C中规定其应该提供的设备、物料、服务和人员,完成所有的施工。附件C为本合同的一部分，受本合同条的约束。公司有责任自付费用补充其提供的设备、物料、服务和人员。合同要求承包商提供的任何物料或服务，但由公司提供了，承包
17、商付成本费用加10%的管理费。Clause 4.6 -ExaminationofMaterials,EquipmentandSupplies材料、设备和供应物品的检验CONTRACTORagreestoexamine(beforeusing)allmaterials,equipmentandsuppliesfurnishedbyCOMPANY,andpromptlyreporttoCOMPANYanyvisualorapparentdefectscontainedtherein,toallowCOMPANYtoreplacesamewithoutdelayingoperations.CONTR
18、ACTORshallnotbeheldresponsibleforlatentdefectsinCOMPANYSmaterials,equipmentandsuppliesatanytime.承包商同意，在使用公司提供的所有材料、设备和供应物品前，进行检查。如目测到或有明显的缺陷，应立即通知公司，以便及时更换有缺陷的物品，从而不影响施工。任可时候承包商对公司提供的材料、设备和供应物品中存在的潜在缺陷不负责任。Clause 4.7 MaintenanceofCOMPANYSEquipment公司设备的维护保养CONTRACTORshalltakecareandproperlymaintainth
19、ematerialsand/orequipmentfurnishedbyCOMPANYtotheextentofthecapacityofCONTRACTORpersonnelpresentattherigsitezprovided,however,thatCOMPANYshall,providemaintenanceproceduresandatitsexpense,furnishallsparepartsandmaterialsrequiredtomaintainorrepairCOMPANYitems.UponcompletionoftheoperationCONTRACTORshall
20、returntoCOMPANYanyCOMPANYitems,atthattimeinCONTRACTORSpossession.承包商应尽其所能看护好公司提供到现场的材料或设备，但规定，公司提供维修保养程序并自负费用提供用于维护其设备所需要的零部件和材料。施工完毕，承包商把公司剩余的零部件和材料退还给公司。CONTRACTORshallfromtimetotimeberequiredtooperateortakecontroloftheoperatingofCOMPANYfurnishedequipmentwithinthecapabilitiesoftherigpersonnel.When
21、suchisthecaseCOMPANYshallfurnishtoCONTRACTORclearoperatingandhandlingproceduresforthesuppliedequipment.在承包商现场人员的能力范围内，要求承包商经常操作或控制操作公司提供的设备。在这种情况下，公司应向承包商提供清楚明确的设备操作规程。Clause 4.8 AdditionalEquipment额外设备Shouldspecialtools,materials,itemsorservices,otherthanthosedesignatedintheContractorrequiredfornor
22、malonshoreoperations,benecessaryforthedrilling,workoverorcompletionofthewell(s)orperformanceofotheroperationshereunder,theircostandthemannerinwhichtheyaretobefurnishedmustbeagreeduponbeforehandinwriting.IfsuppliedbyCONTRACTOR,invoiceswillbesubmittedatCONTRACTOR1Scostplus10%handlingcharge.除去合同中指定或正常陆
23、地施工需要的工具、材料、物品或服务外，如果在钻井、修井、完井或根据本合同进行的其他施工中需要特殊工具、材料、物品或服务,合同双方应事先就其费用、提供方式达成书面协议。如果由承包商提供，公司以成本加10%的手续费偿付承包商。Clause 4.9 Subcontractors分包商CONTRACTORshallhavenoauthorityhereundertohireorengageotherstoperformallorpartoftheWorkwithoutpriorwrittenpermissionfromCOMPANY.UseofsubcontractorsbyCONTRACTORsha
24、llnotrelieveCONTRACTORfromanyliabilityorobligationunderthisContractandallsubcontractsshallclearlyexpressthereinthatCONTRACTORistheprincipalandnottheagentofCOMPANY.SubjecttotheprovisionsofClause9.10belowzanythingprovidedhereininrespectofCONTRACTOR,SWorktobeperformed,theRig,equipment,andPersonnelwilll
25、ikewiseapplytoanysuchsubcontractorsworktobeperformed,itsproperty,andpersonnel,asifsuchpropertyandpersonnelwerethepropertyandpersonnelofCONTRACTOR.没有公司事先书面允许，承包商无权雇用或招聘他人从事本合同的全部或部分工作。承包商雇用分包商并不免除其履行本合同规定的职责和义务。所有的分包合同中必须清楚地表明承包商是公司的委托人，而不是代理人。以下面9.10条为前提，本合同规定的与承包商履行合同有关的任何东西钻机、设备和人员同样适用于任何分包商履行本合同，
26、分包商的财产和人员就象是承包商的财产和人员。Clause 5.4 CostsAssociatedwithShelteredInspections/Repairs.与工厂检修/修理有关的费用IntheeventtheRigistakeninforinspectionandrepair,maintenance,structuralmodificationsorrepairsofstructuraldefects,therelatedrepaircostsandexpenseswillbeforCONTRACTORfSaccount;andtheratespayablehereundershallb
27、ereducedtozerountiltheRigreturnsandresumesoperations.如果钻机被送到工厂检修、保养、整改结构或修理结构缺陷，承包商负责与修理有关的成本和花费。根据本合同，各种应付日费均应为零，直到钻机返回井场恢复施工为止。Clause 5.5 AdditionalInspectionsRequestedbyCOMPANY公司要求的额外检测TheprovisionsofClause5.4hereofshallnotbeapplicablewithrespecttoadditionalorincidentalinspections,requestedbyCOMP
28、ANY,whicharenotrequiredundertheprovisionsofthisContractDuringanysuchadditionalcompanyrequestedinspections,theRepairRateshallbeapplicable.对于合同没有要求的，但公司要求的额外或随机检查不适用于以上5.4条。公司要求的任何额外检查适用于修理日费。Clause 5.6 SitePreparationsandRoadconstruction井场准备和道路施工CONTRACTORshallmakethesitepreparationandconstructtheacc
29、essroadsasperCOMPANYspecificationsuponawrittenrequestfromtheCOMPANY.CONTRACTORShavetherightstousetheirsubcontractorsundertheCONTRACTORSresponsibility.SitepreparationschargewillbesubmittedtotheCOMPANYinduetime.一经公司书面要求，承包商应根据公司的标准修建井场及进入井场的道路。承包商有权根据其职责雇用分包商。承包商应及时提交给公司修建井场和进入道路的费用发票。ARTICLEVIIISTAND
30、ARDOFPERFORMANCE第八条履行合同的准则Clause 8.1 PerformanceandInspectionofCONTRACTOR,SDrillingRig8.1.1 承包商钻机的性能和检测CONTRACTORwarrantsthattheRigwithitsequipmentwillbecapableofbeingmovedforallmovescontemplatedunderthisContractandofoperatinginanyoftheregionsdesignatedbyCOMPANYunderthisContract.CONTRACTORwarrantsth
31、attheRigiscapableofefficientdrillingoperationstoadepthofnotlessthan15z000feet.IntheeventthatCONTRACTORhassoundreasonstoexpectthatthespecificconditionsatacertainlocationdonotpermitsafeoperations,CONTRACTORshallprovidenoticethereoftoCOMPANY.承包商保证其钻机、设备能够搬迁到公司按合同指定的田可井场，并能进行施工。承包商保证其钻机在15,OOO英尺以内进行有效的钻
32、井施工。如果承包商有充分的理由预测在某一井场特殊的条件下施工不安全，承包商应通知公司。8.1.2 COMPANYshallprovideCONTRACTORanacceptance/testprocedurefortheRigbeforetheprojectedCommencementDate,butwithoutrelievingCONTRACTORofitsownobligationsinthisrespectzCOMPANYwillthenproceedtoinspect,acceptand/orrejectforsoundreasontheRigoranypartthereofacco
33、rdingtotheacceptance/testprocedure.CommencementDateshallnotoccur,priortoCONTRACTORfShavingremediedanyidentifieddefect,shortcomingornon-compliancethatcouldpreventofhinderacontinuousoperation.CommencementwithoutfullcomplianceoftheacceptancetestprocedurewillbeatthesolediscretionofCOMPANYwithagreedtimef
34、rameandplanforcomplying.计划开工日前，公司提供承包商一份钻机验收程序，但这并不免除承包商在这方面自己的义务。公司根据验收程序进行检测、接受或提出充分的理由拒绝接受钻机或钻机的某一部分。在承包商整改、改进这些影响连续施工的缺陷、缺点之前，公司不会开钻。为了按约定的时间和计划进行施工，在没有完全执行验收程序的情况下，公司可自行决定开钻。Clause 8.2 PerformanceofCONTRACTORanditsPersonnel承包商及其人员的表现CONTRACTORshallcarryoutoperationshereunderwithduediligenceandi
35、nasafezthorough,andworkmanlikemanneraccordingtogoodoilfieldpractice.CONTRACTORshallinsurethattheRigwillbeadequatelymannedwithcompetentPersonnel,aslistedinAppendix,B,zandthattheRigismaintainedinastateinwhichitcanperformefficientlyandcontinuouslyinaccordancewithgoodoilfieldpractice.承包商应根据通行的油田惯例，以应用的勤
36、勉，以安全、精细和专业化的态度，按照本合同的要求进行施工。承包商应确保其钻机按附件B的规定配备足够称职的工作人员，并按照通行的油田惯例，保证其钻机处在连续高效的运行状态。TheWorkshallbeconducted24hoursperday,7daysperweekinaccordancewithdirectionsissuedbyCOMPANYincluding,butnotlimitedtozwellplans,casingprograms,mudprograms,loggingprograms,cementingprogramsandcompletionandre-entryprocedures.AnycostincurredpriortotheCommencementDatetoputtheRigintoaconditionsothatitmayfunctioncontinuouslyandefficientlyshallbeforCONTRACTORfSaccount承包商根据公司指令，以每天24小时，每周7天连续地进行施工，施工内容包括，但不限于油井设计、套管程序、泥浆设计、测井程序、固井程序、完井和重钻程序。开钻前，为了使钻机达到连续高效运行状态所发生的任何费用由承包商负担。
