5、52024MeasuresofShanghaiMunicipalityfortheAdministrationoftheDomicileRegistrationofBusinessEntitiesArticle 1 (PurposesandBases)Forthepurposesoffurthereffectivelyutilizingdomicileresources,reducingcostsofbusinessstartup,andstimulatingthevitalityofbusinessentities,theseMeasuresaredevelopedinaccordancew

6、iththeRegulationofthePeoplesRepublicofChinaontheAdministrationoftheRegistrationofMarketParticipants,theNoticebytheStateCouncilofIssuingthePlanforReformingtheRegistrationSystemforRegisteredCapital,andotherrequirementsandinlightofactualcircumstancesofthisMunicipality.Article 2 (Definition)上海市人民政府办公厅20

7、24年2月28日上海市经营主体住所登记管理办法第一条(目的和依据)为了进一步有效利用住所资源,降低创业成本,激发经营主体活力,根据中华人民共和国市场主体登记管理条例国务院关于印发注册资本登记制度改革方案的通知等要求,结合本市实际,制定本办法。第二条(定义)本办法所称经营主体,是指从事经营活动的公司、非公司企业法人、个人独资企业、合伙企业、农民专业合作社(联合社)及其分支机构,个体工商户和外国公司分支机构。其中,除农民专业合作社(联合社)、个体工商户、各类分支机构以外的经营主体统称为企业。ForthepurposeoftheseMeasures,businessentitiesmeansthec

8、ompanies,non-corporateenterpriselegalpersons,soleproprietorshipenterprises,partnershipenterprises,andspecializedfarmers*cooperatives(unions)andtheirbranchoffices,individualindustrialandcommercialhouseholds,andbranchesofforeigncompaniesengaginginbusinessactivities.Businessentitiesotherthanspecialized

9、farmerscooperatives(unions),individualindustrialandcommercialhouseholds,andvariousbranchofficesarecollectivelyreferredtoasenterprises.ForthepurposeoftheseMeasures,domicilesofbusinessentitiesmeansthedomicilesoflegallyregisteredcompanies,non-corporateenterpriselegalpersons,soleproprietorshipenterprise

10、s,andspecializedfarmerscooperatives(unions),themainbusinesspremisesofpartnershipenterprises,andbusinesspremisesofindividualindustrialandcommercialhouseholdsandvariousbranchoffices.本办法所称经营主体住所,是指依法登记的公司、非公司企业法人、个人独资企业、农民专业合作社(联合社)的住所,合伙企业的主要经营场所,个体工商户和各类分支机构的经营场所。Article3(ScopeofApplication)第三条(适用范围)

11、TheseMeasuresshallapplytotheregistrationadministrationofthedomicilesofvariousbusinessentitiesinthisMunicipality.Wherethehousesofthearmyorarmedpoliceforcesareusedasthedomicilesofbusinessentities,theseMeasuresshallnotapply.Wherelaws,regulations,orrulesprovideotherwiseforthedomicilesofbusinessentities,

12、suchprovisionsshallapply.Article4(RequirementsforBusinessOperations)BusinessentitiesthatengageinbusinessactivitiesattheirdomicilesshallcomplywiththeprovisionsofIaws5regulations,andrulesandabidebypublicorderandgoodmorals,andshallneitherdisrupttheorderofthemarketeconomynordamagepublicinterests.本市各类经营主

13、体住所的登记管理适用本办法。以军队、武警部队房屋作为经营主体住所的,不适用本办法。法律、法规、规章对经营主体住所另有规定的,从其规定。第四条(经营要求)经营主体在住所从事经营活动的,应当遵守法律、法规、规章的规定,遵守公序良俗,不得扰乱市场经济秩序,不得损害社会公共利益。涉及许可审批事项的经营活动,应当符合有关许可审批的规定。Businessactivitiesinvolvinglicensingapprovalmattersshallcomplywithrelevantprovisionsonlicensingapproval.第五条(安全要求)Article 5 (SafetyRequir

14、ements)经营主体在住所从事经营活动的,应当履行法律、法规、规章规定的房屋使用安全、消防安全等义务。第六条(非居住用房)Businessentitiesengaginginbusinessactivitiesattheirdomicilesshallfulfilltheirobligationstoensurethehouseusesafetyandfiresafety,amongothers,asprescribedinlaws,regulations,andrules.Article 6 (Non-residentialHouses)以非居住用房作为经营主体住所,房屋不得是违法建筑,且

15、不得使用配电间、避难层(间)和疏散通道等涉及生命、财产安全的专用部位(区间)。Non-residentialhousesusedasthedomicilesofbusinessentitiesshallbeneitherillegalbuildingsnorthespecialparts(sections)involvingthesafetyoflifeandpropertysuchaspowerdistributionrooms,refugefloors(rooms),andevacuationpassages,amongothers.第七条(居住用房)Article 7 (Resident

16、ialHouses)以城镇居住用房作为经营主体住所的,房屋不得是违法建筑,且应当按照上海市住宅物业管理规定要求,办理改变房屋使用性质的手续。Theurbanresidentialhousesusedasthedomicilesofbusinessentitiesshallnotbe川egalbuildings,andshallundergotheformalitiesforthechangeoftheusenatureofhousesinaccordancewiththerequirementsoftheProvisionsofShanghaiMunicipalityonResidential

17、PropertyManagement.以农村宅基地上房屋作为经营主体住所的,应当通过房屋安全鉴定并经利害关系人同意,由乡镇政府、街道办事处或其授权单位出具证明文件。农村宅基地上的房屋登记为经营主体住所,不改Wherehousesonruralhousesitesaretobeusedasthedomicilesofbusinessentities,theyshallpassthehousesafetyappraisal,andtheconsentoftheinterestedpartiesshallbeobtained,andthetownshipgovernmentsandsubdistri

18、ctofficesortheentitiesauthorizedtherebyshallissuecertificationdocuments.变其原有使用性质。Wherethehousesonruralhousesitesareregisteredasthedomicilesofbusinessentities,theoriginalusenaturethereofshallremainunchanged.Article8(Clubhouses)第八条(会所用房)以住宅物业管理区域内全体业主共有的会所作为经营主体住所的,应当由物业管理区域内专有部分面积占比三分之二以上且人数占比三分之二以上的

19、业主参与表决,并应当经参与表决专有部分面积四分之三以上且人数四分之三以上的业主同意,由业主委员会出具证明文件。以住宅物业管理区域内不属于全体业主共有的会所作为经营主体住所的,应当符合规划部门审批的用途。尚未审批用途或者改变用途的,应当由物业管理区域内专有部分面积占比三分之二以上且人数占比三分之二以上的业主参与表决,并应当经参与表决专有部分面积过半数且人数过半数的业主同意,并由业主委员会出具证明文件。第九条(住所使用证明)Theuseofaclubhousesharedbyallownersinaresidentialpropertymanagementareaasthedomicileofab

20、usinessentityshallbevotedonbytwo-thirdsormoreofalltheowners,providedthattheareaofprivateportionsownedbysuchownersaccountsfortwo-thirdsormoreofthetotalarea,andbesubjecttotheconsentofthreequartersormoreoftheownersparticipatinginthevoting,providedthattheareaofprivateportionsownedbysuchownersaccountsfor

21、threequartersormoreofthetotalarea,andtheowners*committeeshallissuecertificationdocuments.Ifaclubhousenotsharedbyallownersinaresidentialpropertymanagementareaisusedasthedomicileofabusinessentity,itshallcomplywiththepurposeapprovedbytheplanningdepartment.Iftheusehasnotyetbeenapprovedortheusehasnotbeen

22、changed,itshallbevotedonbytwo-thirdsormoreofalltheowners,providedthattheareaofprivateportionsownedbysuchownersaccountsfortwo-thirdsormoreofthetotalarea,andbesubjecttotheconsentofoverahalfoftheownersparticipatinginthevoting,providedthattheareaofprivateportionsownedbysuchownersaccountsforoverahalfofth

23、etotalarea,andtheownerscommitteeshallissuecertificationdocuments.Article9(CertificatesofUseofDomiciles)经营主体办理住所登记时使用自有房屋的,应当提交不动产权证;租赁他人房屋的,应当提交不动产权证和租赁合同。Ifabusinessentityusesitsownhousewhenundergoingthedomicileregistrationformalities,itshallsubmittherealestateownershipcertificate;andifitleasesahou

24、sefromanyotherperson,itshallsubmittherealestateownershipcertificateandtheleasecontract.(一)经营主体提供以下材料的,可以免于提交不动产权证:1. Ifthebusinessentityprovidesthefollowingmaterials,itmaybeexemptfromsubmittingtherealestateownershipcertificate:1.经备案的租赁合同;(1) Theleasecontractthathasundergonetherecordationformalities.

25、2.经营主体住所属于旅馆、宾馆房间的,提交旅馆、宾馆营业执昭.(2) Ifthedomicileofthebusinessentityistheroomofaguesthouseorhotel,thebusinesslicenseoftheguesthouseorhotelshallbesubmitted.3.经营主体住所属于商品交易市场内场所的,提交市场经营管理企业营业执照。(3) Ifthedomicileofthebusinessentityisaplacewithinthecommoditytradingmarket,thebusinesslicenseofthemarketopera

26、tionandmanagemententerpriseshallbesubmitted.(二)经营主体使用的住所无法提交不动产权证的,应当提交以下证明材料:1.属于公有非居住用房的,提交公有非居住房屋租赁合同;2. Iftherealestateownershipcertificatecannotbesubmittedforthedomicileusedbythebusinessentity,thefollowingcertificationmaterialsshallbesubmitted:(1) Ifitisapublicnon-residentialhouse,theleasecontr

27、actforthepublicnon-residentialhouseshallbesubmitted.2.属于公用民防工程的,提交民防管理部门出具的有关文件;(2) Ifitisapubliccivildefenseproject,therelevantdocumentsissuedbythecivildefensemanagementdepartmentshallbesubmitted.3.属于商业网点用房的,提交商业网点管理部门批准文件;(3) Ifitisahouseusedbyacommercialoutlet,theapprovaldocumentofthecommercialou

28、tletmanagementdepartmentshallbesubmitted.4.属于已竣工未取得不动产权证房屋的,提交建设工程竣工验收备案证明及房屋用途证明文件;(4) Ifitisahousetheconstructionofwhichhasbeencompletedandwhichhasobtainedarealestateownershipcertificate,thecertificateofrecordationofthefinalacceptanceinspectionoftheconstructionprojectandthecertificateofthepurposeo

29、fthebuildingshallbesubmitted.5.属于区政府、临港新片区管委会规定的其他可以从事经营活动的非居住用房的,提交区政府、临港新片区管委会规定的其他证明文件,相关证明文件应当载明房屋已通过安全鉴定。(5) Ifitiswithinthescopeofothernon-residentialhousesthatcanbeusedforbusinessactivitiesasprescribedbythedistrictgovernmentandtheManagementCommitteeofthe1.in-GangSpecialArea,othercertification

30、documentsasprescribedbythedistrictgovernmentandtheManagementCommitteeofthe1.in-GangSpecialAreashallbesubmitted,andrelevantcertificationdocumentsshallspecifythatthehousehaspassedthesafetyappraisal.第十条(企业集中登记地)Article 10 (CentralizedRegistrationPlacesofEnterprises)区政府、临港新片区管委会或其授权单位可以认定一处或多处非居住用房为集中登记

31、地,供本辖区内从事不扰民、不影响周边环境和公共安全经营项目的企业登记住所。AdistrictgovernmentortheManagementCommitteeofthe1.in-GangSpecialAreaoranentityauthorizedtherebymaydetermineoneormorenon-residentialhousesascentralizedregistrationplacesforenterprisesengaginginprojectsthatdonotdisturbresidentsanddonotaffectthesurroundingenvironmen

32、tandpublicsafetywithinthisjurisdictiontoregisterdomiciles.认定集中登记地的,区政府、临港新片区管委会应当对集中登记地规范服务、加强管理等作出具Wherecentralizedregistrationplacesaredetermined,districtgovernmentsandtheManagementCommitteeofthe1.in-GangSpecialAreashallmakespecificprovisionsonthestandardizedservicesandtheenhancedmanagementofcentr

33、alizedregistrationplaces,amongothers,andeffectivelyorganizetheimplementationthereof.体规定,并做好组织实施。Article 11 (RegistrationPlacesofIndividual第H条IndustrialandCommercialHouseholds)iE)(个体工商户登Districtgovernmentsortheentitiesauthorizedtherebymay,inconsiderationoftheconstructionofurbanandruralcommunityservic

34、esystems,provideregistrationplacesofindividualindustrialandcommercialhouseholdsfortheregistrationoftheindividualindustrialandcommercialhouseholdsengaginginresidentserviceswithinthecommunities.Districtgovernmentsortheentitiesauthorizedtherebyshallmakespecificprovisionsontheservices,administrationandu

35、se,amongothers,ofregistrationplacesofindividualindustrialandcommercialhouseholds,andeffectivelyorganizetheimplementationthereof.Article 12 (OnlineBusinessPremisesofIndividualIndustrialandCommercialHouseholds)区政府或其授权单位可以结合城乡社区服务体系建设,提供个体工商户登记地,供社区内从事居民服务业的个体工商户登记。区政府或其授权单位应当对个体工商户登记地的服务、管理和使用等作出具体规定,

36、并做好组织实施。第十二条络经营场所)(个体工商户网仅通过网络交易平台开展网络交易活动的平台内经营者申请登记为个体工商户的,可以将网络经营场所登记为经营场所。同一经营者有两个以上网络经营场所的,应当一并登记。Iftheon-platformoperatorswhichconductonlinetradingactivitiesonlythroughonlinetradingplatformsareindividualindustrialandcommercialhouseholds,theonlinebusinesspremisesmayberegisteredasbusinessplaces.

37、Ifthesamebusinesshastwoormoreonlinebusinesspremises,itshallregisterthemtogether.Article13(OneAddressforMultipleBusiness1.icenses)Underanyofthefollowingcircumstances,on-residentialhousesatthesameaddressmayberegisteredasthedomicilesoftwoormorebusinessentities:1.Thereareinvestmentrelationshipsamongbusi

38、nessentitieswhichsharethesamedomicileforofficework.第十三条(一址多照)符合以下情形之一的,可以将同一地址的非居住用房登记为两个及以上经营主体的住所:(一)经营主体之间有投资关系,使用相同住所办公的;2. Thebusinessentitiesareprivatefundmanagemententerprisesandtheprivatefundenterprisesmanagedbythem.(二)私募基金管理企业及其管理的私募基金企业;3. ThehousesspecifiedinArticles10and11oftheseMeasures

39、areusedasdomiciles.(三)以本办法第十条、第十一条规定的房屋作为住所的。Article 14 (OneBusiness1.icenseforMultipleAddresses)第十四条(一照多址)本市登记的经营主体可以在登记住所以外开展经营活动,无需向市场监管部门申请办理经营主体登记备案手续。企业确有需要的,可以依法申请办理分支机构登记。在登记住所之外的其他场所从事与经营范围一致且不涉及行政许可的经营活动、属于同一登记机关管辖的企业,也可以申请增加经营场所备案。BusinessentitiesregisteredinthisMunicipalitymayconductbusi

40、nessactivitiesoutsidetheirregistereddomiciles,withouttheneedtoapplytomarketregulatorydepartmentsforundergoingtheformalitiesforregistrationandrecordationofbusinessentities.Anenterprisethattrulyhasneedsmayapplyforbranchofficeregistrationinaccordancewiththelaw.Anenterprisethatengagesinanybusinessactivi

41、tythatisconsistentwithitsbusinessscopeanddoesnotinvolveadministrativelicensinginaplaceotherthanitsregistereddomicileunderthejurisdictionofthesameregistrationauthoritymayalsoapplyfortherecordationofincreaseofbusinesspremises.企业申请办理备案时,应当向登记机关提交备案申请书、营业执照复印件,并提交符合本办法规定的房屋使用证明。首次办理备案的,还应当换发营业执照。备案后,登记机

42、关在企业营业执照住所一栏标注“一照多址企业”,并通过企业营业执照上的“经营主体身份码”公示经营场所备案信息。企业应当将营业执照复印件置于备案场所醒目位置。AnenterprisethatappliesforundergoingtherecordationformalitiesshallsubmitarecordationapplicationandthephotocopyofitsbusinesslicenseandacertificateofhouseusethatcomplieswiththeprovisionsoftheseMeasurestotheregistrationauthori

43、ty.Iftherecordationformalitiesareundergoneforthefirsttime,anewbusinesslicenseshallalsobeissued.Aftertherecordation,theregistrationauthorityshallindicate“EnterprisewithOneBusiness1.icenseforMultipleAddressesnintheuDomicilecolumnofthebusinesslicenseoftheenterprise,andpublicizethebusinesspremiserecorda

44、tioninformationthroughthebusinessentitysidentitycodenontheenterprisesbusinesslicense.Anenterpriseshallplacethephotocopyofitsbusinesslicenseinaconspicuouspositionoftherecordationplace.第十五条(住所标准化登记信息库)Article 15 (StandardizedRegistrationInformationDatabaseforDomiciles)区政府、临港新片区管委会或其授权单位应当对本辖区内具备信息化管理条

45、件的非居住用房、集中登记地等房屋的地址、产权、类型、租赁及使用情况等信息进行统一管理,并保持动态更新。DistrictgovernmentsandtheManagementCommitteeofthe1.in-GangSpecialAreaortheentitiesauthorizedtherebyshallconductunifiedmanagementoftheinformationontheaddresses,propertyrights,types,leaseandusage,amongothers,ofnon-residentialhousesatcentralizedregistr

48、ngacertificateofuseofthedomicile.第十六条(综合监管)Article 16 (ComprehensiveRegulation)经营主体住所应当具备特定条件但不具备的,或者利用违法建筑、擅自改变房屋用途等从事经营活动的,由规划资源、住房城乡建设管理、房屋管理、公安、生态环境、应急管理、城管执法等部门依法处理;涉及许可审批事项的,由负责许可审批的行政管理部门依法监管。Whereabusinessentitysdomicileshouldbutfailstomeetspecificconditions,orthebusinessentityengagesinanybusinessactivitybyusingillegalconstructionorchangingwithoutauthorizationtheuseofthehouse,theplanningandresources,housingandurban-ruraldevelopmentmanagement,housingmanagemen
