Miscellaneous鉴于甲方将在乌兹别克斯坦的塔什干市铁路枢纽中心建设大型货运站,愿意购买由乙方制造的型号为的建筑起重机和附属设备，并按照合同约定支付相关价款；鉴于乙方制造甲方需要订购型号的建筑起重机和附属设备并负责安装到甲方指定工地，承担售后服务，并按照合同约定收取相关价款；因此，双方经友好协商，遵循平等、自愿、公平和诚实信用的原则，就本合同约定的建筑起重机械的安装、
4、顶升、附着、售后服务事项协商一致,订立本合同。WhereasPartyAwillbuildalargefreightterminalintherailwaycenterofthecityofTashkent,Uzbekistan,andarewillingtoordertheconstructioncraneswiththeancillaryequipmentofthetypeofwhichmanufacturedbyPartyBandtoeffectpaymentoftherelevantpriceasstipulatedinthecontract.WhereasPartyBmanufact
5、urestheconstructioncranesandancillaryequipmentofthetypewhichorderedbyPartyAandisresponsiblefortheinstallationthereofatthesitedesignatedbyPartyAzinadditiontoundertakeafter-salesserviceandcollecttherelevantpriceinaccordancewiththecontract.Therefore,thepartieshereto,throughfriendlyconsultationbetweenth
6、epartieshereto,followingtheprinciplesofequality,Voluntarinesszfairnessandhonestyandcredit,concludethiscontractontheinstallationjacking,attachmentandafter-salesserviceofconstructioncranesasstipulatedherein.一、型号规格1. MODE1.SPECIFICATIONQTZ-40塔机(主机高度为28米),电缆线按112米配置钢丝绳按380米配置;每台塔机用电缆线按140米配置，钢丝绳按380米配置；
7、乙方在供应标准节时必须随机提供安装所用的各种螺丝及垫片。塔吊监控系统每台配备一套。QTZ-40towercrane(hostheightis28meters),configurationofcablelineto112meterszwireropeaccordingto380meters;eachtowercranewithcablelineaccordingto140meters,wireropeaccordingto380meters.PartyBshall,inthesupplyofstandardsection,providewiththetowercraneavarietyofscr
8、ewsandshimsusedforinstallation.Themonitoringsystemoftowercraneisequippedwithonesetperunit.二、塔吊台数2. NUMBEROFTOWERCRANES甲方向乙方订购台QTZ-40建筑起重塔机(配标准附件和工具)。PartyAordersfromPartyBsetsoftheQTZ-40constructioncrane(withstandardaccessoriesandtools).三、价款3.PRICE1.塔吊购买价格：每台为美元FCA塔什干(包装费包括在内)1. Theunitpriceoftowerc
9、rane:USDFCATashkentperset(packingchargesinclude):2、安装工程费用：每台为美元。2. Costofinstallationwork:USDperset.3. .设备运输费每台美元。4. ThetransportingcostoftowercranepersetisUSDperset.4、合同单价包含材料、设备、装车运输、税金、安装、指导调试和培训等费用，以及中国海关规定的费用；5. Thecontractunitpriceincludesthecostofmaterials,equipmentloadingandtransportation,ta
10、xes,installation,instructionandtraining,inadditiontothecostsspecifiedbyChinasCustoms;总金额：美元(大写)：TotalAmount:USD(inwords):四、支付方式4.PAYMENT1.合同签订后20个工作日内，甲方向乙方电汇支付合同总价的10%,计美元(或相当于该金额的人民币)作为合同预付款。ThePartyAshould,within20workingdaysuponsignaturehereof,pay10%ofthetotalcontractpricetoPartyBthroughtelegrap
11、hictransfer,countingUSDollars(orequaltothesamevalueofRMB)asadvancepaymentofthecontract.2、货物装运后，乙方应将以甲方为付款人的远期汇票连同本合同的各种货运单据，通过乙方银行寄交甲方银行转交甲方，并托收货款。甲方对乙方开具的见票后30天付款的跟单汇票，于提示时承兑，并于汇票到期时付款，承兑后交单。Afterdelivery,thePartyBshallsendthroughthePartyB,sbankausancedraftdrawnonthePartyAtogetherwiththeshippingdoc
12、umentstothePartyAthroughthePartyAzsbankforcollection.ThePartyAshalldulyacceptthedocumentarydraftdrawnbythePartyBat30dayssightuponfirstpresentationandmakepaymentonitsmaturity.Theshippingdocumentsaretobedeliveredagainstacceptance.3、款项付至合同价的95%,留5%作质保金，质保期(一年)满10日内结清全部尾款。3、Paymentupto95%ofthecontractpr
13、ice,leaving5%forwarranty,andthefinalpaymentwillbesettledwithin10daysuponmaturityofwarranty(oneyear).五、质量标准5.Qualitystandards质量要求及技术标准:乙方向甲方提供的建筑起重机械为全新制造的、机械性能良好、安全装置齐全有效、使用有效期在合同约定时间内。Qualityrequirementsandtechnicalstandards.TheconstructioncranesprovidedbyPartyBtoPartyAarenewlymanufactured,withgood
14、mechanicalperformance,completeandeffectivesafetydevices,andvalidforusewithinthecontractedtime.乙方保证其所提供的塔式起重机及所有设备必须符合中国相关质量标准，满足验收要求，并承担产品质量保修期间的质量责任。适用于本合同的标准包括但不限于以下：PartyBwarrantsthatthetowercranesandallequipmentitsuppliesshouldconformtoChinasrelevantqualitystandards,satisfytheacceptancerequireme
15、ntsandassumeresponsibilityforthequalityoftheproductduringthewarrantyperiod.Thestandardsapplicabletothiscontractinclude,butarenotlimitedtozthefollowing.六、交货时间、地点和运输要求6.Deliverytimezplaceandtransportationrequirements1.在甲方按合同约定支付预付款后日内，乙方必须将本合同约定设备的基础图、平衡重量图及预埋螺栓提供给甲方。1.PartyBshould,withindaysuponParty
16、Aspaymentoftheadvanceasstipulatedherein,providePartyAwiththeFoundationPlan,BalanceWeightPlanandPre-buriedBoltsoftheequipmentwhichstipulatedinthiscontract.3、包装标准：整机裸装，随机附件和随机文件用铁箱包装，包装箱不回收(乙方需随货提供装箱清单、随机零配件清单及随机配带小型工具清单等所有随机出厂资料)。3、Packingstandard:thewholemachineispackedbare,theaccessoriesanddocument
17、saccompanyingtheequipmentarepackedinironboxeswhicharenotrecycled(PartyBisrequiredtoprovidewiththegoodsthepackinglist,listofsparepartsoftheaccompanyingequipmentandlistofsmalltoolsandotherfactoryinformationofallaccompanyingequipment).4、运输单证4.Transportationdocuments(1)装箱单及/或重量单三份，注明合同号及陵头，并逐件列明每包装毛重、净重
18、及尺码。(1)Packinglist/weightMemoin3copies,indicatinggrossandnetweightofeachpackage.(2)由制造厂商出具的质量及重量证明各二份。(2)Certificateofqualityandquantityin2copyissuedbythemanufacturer.(3)由保险公司出具的以甲方为受益人的、按发票金额110%投保一切险的单据二份正本二份副本。(3) Certificateofinsurancein2originaland2copiesfor110%ofinvoicevaluecoveringallriskswit
19、hthePartyBasbeneficiary,issuedbytheinsurancecompany.(4)原产地证明二份正本。(4) Twooriginalcertificateoforigin.七、设备检验7.InspectionofEquipment1.乙方应对合同设备进行检验并向甲方提交质量合格证书和发货前的检验记录，因此所发生的费用均由乙方承担。ThePartyBshallinspecttheContractEquipmentandissuetheex-worksqualitycertificatesaswellaspre-deliveryinspectionrecords,all
20、expensesinvolvedshallbeforthePartyBsaccount.Theex-worksqualitycertificatesandpre-deliveryinspectionrecordsshallbesubmittedtothePartyA.2、甲方有权派遣检验人员到乙方生产厂家国家同乙方检验人员一起对主要设备的生产程序和质量进行检验。乙方应免费向甲方的检验人员提供工作设备，包括但不限于必要的技术文件、检验工具仪器。2.PartyAhastherighttodispatchtheinspectorstoPartyBsmanufacturerscountrywithPa
21、rtyB,sinspectorstoeffectinspectionoftheproductionproceduresandthemainequipmentsquality.PartyBshallprovidePartyAsinspectorswithworkingequipmentfreeofcharge,includingbutnotlimitedtothenecessarytechnicaldocuments,inspectiontoolsandinstruments.4、乙方所供设备如发现不合格产品，乙方必须无条件退回不合格产品，更换相同数量、相同规格型号的合格产品，并承担由此发生的一
22、切费用。4.IftheequipmentsuppliedbyPartyBisfoundtobesubstandardorunqualified,PartyBmustunconditionallyreturnthesubstandardorunqualifiedproductandreplacethesamewithaqualifiedproductofthesamequantityandthesamespecification,andbearallcostsincurredasaresult八、塔吊的安装8.Installationoftowercrane1.设备到场后，乙方必须派遣专业技术人
23、员到甲方现场进行安装并负责指导塔机调试事宜。1、PartyBshall,uponarrivaloftheequipmentatthesitezarrangetheprofessionaltechnicalpersonneltothePartyAssiteforinstallationandisresponsibleforguidingthecommissioningofthetowercrane.2、在设备进场前天，乙方向甲方提供设备的基础图纸，准备齐全安装、顶升、附着、维护保养等施工作业中所需的满足工作要求的设备、吊具、索具、工具、仪器。2、Inthedaysbeforetheequipme
24、ntisdeliveredtothesite,PartyBshall,dayspriortotheequipmentsenteringthesitezprovidePartyAwiththefoundationdrawingsoftheequipmentandprepareacompletesetofequipment,spreaders,rigging,toolsandinstrumentswhichrequiredforinstallationjacking,attachmentmaintenanceandotherconstructionoperationstomeettheworkre
25、quirements.3、乙方按照安全技术标准及建筑起重机械性能要求，向甲方提交一份建筑起重机械安装（含顶升、附着）专项施工方案。3zPartyBshall,inaccordancewiththetechnicalsafetystandardsandtheperformancerequirementsofconstructioncranes,submittoPartyAacopyofthespecialconstructionprogramofconstructioncraneinstallation(includingforjacking,attachment).4、按照合同规定的时间和技术附件的要求完成塔吊的安装、调试。4、Completetheinstallationandcommissioningofthetowercraneinaccordancewiththetimespecifiedinthecontractandtherequirementsofthetechnicalannexes
