1、国际贸易合同常见的单证条款国际贸易合同常见的单证条款Documentsclause单证就是指在国际结算中应用的单据、文件、证书，凭借这种文件来处理国际货物的支付、运输、保险、商检、结汇等。单证作为一种贸易文件。单据是办理货物的交付和货款支付的一种依据。单据可以表明出口商是否履约，履约的程度。进口商品以单据作为提取货物的货权凭证。单证的流转环节构成了贸易程序和银行、海关、交通运输部门、保险公司、商检机构、有关行政管理机关发生多方面的联系。单证DocumentsRequired:卖方应将下列单据提交银行议付/托收：Sellershallpresentthefollowingdocumentsreq
2、uiredtothebankfornegotiation/collection:(1)标明通知收货人/受货代理人的全套清洁的、已装船的、空白抬头、空白背书并注明运费已付/到付的海运/5关运/陆运提单。FullsetofcleanonboardOcean/CombinedTransportation/LandBillsofLadingandblankendorsedmarkedfreightprepaid/tocollect;(2)标有合同编号、信用证号(信用证支付条件下)及装运唆头的商业发票一式_份；Signedcommercialinvoicein_copiesindicatingContr
3、actNo.,L/CNo.(TermsofL/C)andshippingmarks;(3)由_出具的装箱或重量单一式一份；Packinglist/weightmemoin_copiesissuedby_;(4)由_出具的质量证明书一式_份；CertificateofQualityin_copiesissuedby(5)由_出具的数量证明书一式_份；CertificateofQuantityin_copiesissuedby_;(6)保险单正本一式一份(ClF交货条件)；Insurancepolicy/certificatein_copies(TermsofCIF);(7)一签发的产地证一式一份
4、；CertificateofOriginin_copiesissuedby_;(8)装运通知(ShiPPingadvice):卖方应在交运后一小时内以特快专递方式邮寄给买方上述第一项单据副本一式一套。TheSellershallzwithin_hoursaftershipmenteffected,sendbycouriereachcopyoftheabove-mentioneddocumentsNo._.卖方应对所提交的单据负责任，任何因递交给买方的单据不符或不全或递交不及时而产生的额外海关通关费用由卖方负担.Thesellershallberesponsibleforallthedocume
5、ntspresentedfornegotiation;allextrachargesoutsidethenormalproceduresofthecustomsclearancefeecausedbythediscrepanciesorincompletionbetweenthenegotiationdocumentsandthegoodspresentedoruntimelypresentationofthedocumentssenttotheBuyersthereofshallbebornebythebeneficiaryoftheL/C.卖方应将下列单据提交银行议付/托收：TheSell

7、rcialinvoiceinthreecopiesindicatingContractNo,L/CNo.(TermsofL/C)andshippingmarks.(3)装箱或重量单一式三份Packinglist/weightmemointhreecopies(4)商检证书一式三份Theinspectioncertificateinthreecopies(5)原产地证书一式三份CertificateofOriginC/0inthreecopies(6)装运通知的副本Thecopyoftheshippingnotice单证DOCUMENTS在此处注明卖方提供的单证。建议当事人对照其在特别条款第1-
8、3款中选定的贸易术语。IndicateheredocumentstobeprovidedbySeller.PartiesareadvisedtochecktheIncotermtheyhaveselectedunder1-3oftheseSpecificConditions.卖方须将提单、发票及装箱单副本各I份随船带交目的口岸买方收货代理人中国对外贸易运输公司分公司。TheSellersshalldispatch,incareofthecarryingvesselzonecopyeachoftheduplicatesofBillofLading,InvoiceandPackingListtot
9、heBuyersreceivingagent,theBranchofChinanationalForeignTradeTransportationCorporationattheportofdestinationo船启航后立即将I份全套单据副本航空邮寄买方，另2份航空邮寄目的口岸的中国对外贸易运输公司分公司。ImmediatelyafterthedepartureofthecarryingvesselztheSellersshallairmailonesetoftheduplicatedocumentstotheBuyersandtwosetstotheBranchofChinaNationa
10、lForeignTradeTransportationCorporationattheportofdestination.卖方应将下列单据提交议付银行议付货款：TheSellershallpresentthefollowingdocumentstothenegotiatingbankfornegotiation:(1)注明合同号、签名正本发票四份。Signedcommercialinvoicein4copiesindicatingcontractNo.(2)全套洁净、注明运费已付、以买方为抬头、空白背书和通知人为买方的已装船提单。FullsetofCleanonboardoceanBillof
11、ladingmarked“freightPrePaiCrandmadeouttoorderzblankendorsedandnotifyingthebuyers.(3)装箱单及/或重量单三份，注明合同号及暖头，并逐件列明每包装毛重、净重及尺码。Packinglist/weightMemoin3copies,indicatinggrossandnetweightofeachpackage.(4)由制造厂商出具的质量及重量证明各二份。Certificateofqualityandquantityin2copyissuedbythemanufacturer.(5)由保险公司出具的以买方为受益人的、按
12、发票金额110%投保一切险的单据二份正本二份副本。Certificateofinsurancein2originaland2copiesfor110%ofinvoicevaluecoveringallriskswiththeSellerasbeneficiary,issuedbytheinsurancecompany.(6)热处理证明一份正本一份副本或熏蒸证明或针叶木包装声明三份正本。Heattreatmentcertificateorphytosanitarycertificateinoneoriginaland2copyordeclarationofNo-ConiferwoodPackin
13、gMaterialsin3originals.原产地证明二份正本。Twooriginalcertificateoforigin.a.全套标明运费已付的空白抬头、空白背书的清洁海运提单正本海运单据3份、副本3份，通知方、收货人为买方；Fullset(3originalsand3non-negotiablecopies)ofcleanonboardCombinedTransportationBillofLadingmadeouttoorderandblankendorsedmarked“Freightprepaid,notifyingtheBuyer,1.b.详细装箱单一式三份注明合同号、信用证号
14、、包装数量、毛/净重和尺寸Dispatchnotein3originalsindicatingcontractnumber,L/Cnumber,packingquantity,gross/netweightsandmeasurements.c.制造商/受益人出具的合同货物的质量和数量证明，正本3份、副本3份；CertificateofQualityandQuantityforcontractgoodsin3originalsand3copiesissuedbymanufacturers/beneficiaryd.制造商/受益人或指定的检验机构出具的详细的工厂检验报告,正本3份、副本3份；Det
15、ailedworkshopinspectioncertificatein3originaland3copiesissuedbythemanufacturer/beneficiarye.制造商/受益人出具的原产地证明书，正本3份、副本3份；Certificateoforiginin3originaland3copiesissuedbythemanufacturer/beneficiaryf.由受益人出具的非木质包装证明，或由卫生检疫机构出具的木质包装植物检疫证明或熏蒸证明，或由受益人出具的申明，证明IPPC标志已在木质包装上表明。Thedeclarationcertificateofnon-wo
16、odpackingmaterialsissuedbythebeneficiary,orPlantQuarantineCertificateorFumigationCertificate,orthedeclarationissuedbythebeneficiarytocertifythatthemarkIPPCmarkedonthewoodenpackages.买方在货物验收后在信用证下支付合同价的10%货款57500欧元。卖方须向议付行提供下列单据：10%ofthecontractamount,i.e.57z500.00Euroshallbepaidaftertheacceptanceofth
17、egoods.TheSellershallsubmitthefollowingdocumentstothenegotiatingbankfor10%ofthetotalContractvalue.a.标明喽头、信用证号和合同号的合同总金额10%的发票正本3份、副本2份；ManuallysignedcommercialInvoicecovering10%ofthetotalcontractpricein3originalsand2copiesindicatingshippingmarkztheL/CNo.andContractNo.b.由买方和卖方共同签字的货物最终验收证明正本1份、副本2份；或
18、者如果由于买方原因不能提供终验收报告，最迟于海运提单装船日期后120天作为终验收时间，由船运公司提供证明为准。FinalAcceptanceCertificateofthegoodsin1originaland2copiessignedbytheBuyerandtheSellerorpaymentatthelatest120daysafterissuingdateoftheB/LiftheFinalAcceptanceCertificateisnotpresented.c.AnIrrevocableBondofBankGuaranteeforWarrantyObligationvaluedat
19、10%ofthecontractvalueissuedbytheSellersfirstclassbankacceptabletotheBuyer.In1original1copy.Theguaranteeshallbevalidfortwelvemonthsfromthedateoffinalacceptancecertificateorifnotissued,sixteenmonthsaftertheissuingdateoftheB/L由买方可接受的卖方一流银行出具的金额为合同总价10%的不可撤销质量期保函正本一份，副本T分，保函有效期为终验收后一年或者不提供终验收报告，以海运提单日期以后16个月。
