8、umentsoranswersitsrequiresandshallnotifyFIRSTPARTYpromptlyinwritingifinitsopinionandifSECONDPARTYhavefailedtoprovidesuchinformation,documentsoranswersorifitthinksthatanysuchinformation,documentsoranswersisormaybeinaccurateorincomplete.乙方须在合理切实可行的范围内，就件可资料、文件或答覆，如认为合适,给予甲方合理的事先通知;如乙方没有提供该等资料、文件或答覆，或认
9、为任何该等资料、文件或答覆是不准确或可能不准确或不完整，则须立即以书面通知甲方。10.3 TheSECONDPARTYhavetoissuedallrelevantdocumentstotheFIRSTPARTYespeciallyrelatedtothevesselregistration,lastVesselSurveyReports,allSeaWorthinessCertificates,VesselGeneralArrangementPlanincludingtheHydroStaticCurveofthevesselwithendorsementandotherrelevantdo
10、cumentsthatarerequired.乙方必须向甲方签发所有相关文件，特别是有关船舶注册、上次船舶检验报告、所有海值证书、船舶总布置图,包括附有背书的船舶静水曲线,以及其他必要的相关文件。10.4 TheSECONDPARTYisresponsibleforapplyingtheDomesticShippingLicencesfromMarineDepartmentorMinistryofTransportforallforeignvesselsthatareoperatingwithinMalaysianwaters.乙方负责对在马来西亚水域内作业的所有外国船舶申请海事部或交通运输部

INDEMNITY赔偿11.1 IndemnityagainstInfringement侵权赔偿SECONDPARTYshall,atitsexpense,fullyindemnifyFIRSTPARTYagainstallclaims,penalties,demandsandliabilitiesincurredbyFIRSTPARTYattributabletotheSECONDPARTYcarryingoutorperformanceoftheContractandtheWorkszoranypartthereof乙方应对甲方因乙方履行或履行合同和工程或其任何部

CONFIDENTIALITY保密Thepartiesheretoundertaketokeepconfidentialandtoprocurethattheirrespectiveemployeesand/oragentshallkeepconfidentialthetermsandconditionsofthisAgreement,unlesswiththeorderofthecourtofCompetentjurisdictionJheobligationofthepartieshereshallcontinuewithoutlimitinpointoftimeprovidedn
17、othingcontainedinthisClauseshallpreventanypartytothisAgreementfromdisclosingthisAgreementinconnectionwithlegalproceedingarisingtherefrom.除非有主管司法管辖区的法院命令，否则双方均应保守秘密并促使其各自的雇员和/或代理商对本协议的条款和条件保密。双方的义务应在时间上无限制地继续，只要本条款中未包含的任可内容均不得阻止本协议的任何一方就由此引起的法律程序披露本协议。20. 18、ementshallhaveanylegalforceoreffectunlesssuchamendmentisinwritingintheformofsupplementaryagreementandsignedbyeachoftheParties.除非以书面形式以补充协议的形式并由各方签署，否则本协议的任何修订均不具有法律效力或效力。21. NOTICES通知AnynoticerequiredorpermittedtobegivenunderthisAgreementshallbedeemeddulyservedifsentbyregisteredmailpersonaldeliveryo
19、rothermeanswherebyreceiptisrecordedorfacsimiled,telexedorcabledtotherespectiveaddresses.Allnoticeshereundershallbeeffectivewhenreceivedattherespectiveaddresses.如果通过挂号信或其他方式通过挂号信或其他方式将收据记录、电传、传真或电报至相应地址，则本协议要求或允许发出的任何通知均应视为已适当送达。本通知下的所有通知在各自的地址收到时均有效。28.
