1、工程合同中的履约担保条款中英文对照版工程合同中的履约担保条款ARTICLEOFPERFORMANCESECURITY发包人需要承包人提供履约担保的，由合同当事人在专用合同条款中约定履约担保的方式、金额及期限等。履约担保可以采用银行保函或担保公司担保等形式，具体由合同当事人在专用合同条款中约定。Wheretheemployerrequirethecontractorprovideperformanceguarantee,themanner,amount,termandothersofguaranteewillbe,betweenpartiesthereto,agreedinparticularc
2、onditionofcontract.Performanceguaranteemayadopttheformsofbankguaranteeorbondingcompany*Sguarantee,forwhichspecificationsthereofwillbeagreedinparticularcondition.因承包人原因导致工期延长的,继续提供履约担保所增加的费用由承包人承担；非因承包人原因导致工期延长的，继续提供履约担保所增加的费用由发包人承担。Providedthatiftheextensionofworktermforthereasonsattributabletotheco
3、ntractortheincreasedcostforcontinuingtoprovideperformanceguaranteewillbeassumedbythecontractor,providedhoweverifthereasonsofworktermextensionduetonon-contractor,theincreasedcostforcontinuingtoprovideperformanceguaranteewillbeassumedbytheemployer.承包商应对严格履约(自费)取得履约担保，保证金额与币种应符合专用条件中的规定。专用条件中没有提出保证金额的，

5、ContractorshalldeliverthePerformanceSecuritytotheEmployerwithin28daysafterbothPartieshavesignedtheContractAgreementThePerformanceSecurityshallbeissuedbyanentityandfromwithinacountry(orOtherjuriscliction)approvedbytheEmployer,andshallbeintheformannexedtotheParticularConditionsorinanotherformapprovedb
6、ytheEmployer.承包商应确保履约担保直到其完成工程的施工、竣工和修补完任1可缺陷前持续有效和可执行。如果在履约担保的条款中规定了其期满日期，而承包商在该期满日期28天前尚无权拿到履约证书，承包商应将履约担保的有效期延至工程竣工和修补完任何缺陷时为止。TheContractorshallensurethatthePerformanceSecurityisvalidandenforceableuntiltheContractorhasexecutedandcompletedtheWorksandremediedanydefects.IfthetermsofthePerformanceSe
7、curityspecifyitsexpirydate,andtheContractorhasnotbecomeentitledtoreceivethePerformanceCertificatebythedate28dayspriortotheexpirydate,theContractorshallextendthevalidityofthePerformanceSecurityuntiltheWorkshavebeencompletedandanydefectshavebeenremedied.除出现以下情况雇主根据合同有权获得的金额外，雇主不应根据履约担保提出索赔：TheEmployer
8、shallnotmakeaclaimunderthePerformanceSecurity,exceptforamountstowhichtheEmployerisentitledundertheContractintheeventof:承包商未能按前一段所述延长履约担保的有效期，这时雇主可以索赔履约担保的全部金额；FailurebytheContractortoextendthevalidityofthePerformanceSecurityasdescribedintheprecedingparagraph,inwhicheventtheEmployermayclaimthefullamo
9、untofthePerformanceSecurity,承包商应在收到中标函之后二十八天内，按投标书附件中注明的金额取得担保，并将此保函提交给雇主。当向雇主提交此保函时，承包商应将这一情况通知工程师。提供的担保机构须经雇主同意。除非合同另有规定外，执行本款时所发生的费用由承包商负担。IftheContractrequirestheContractortoobtainsecurityforhisproperperformanceoftheContract,heshallobtainandprovidetotheEmployersuchsecuritywithin28daysaftertherec
10、eiptofLetterOfAcceptance,inthesumstatedintheAppendixtoTender.WhenprovidingsuchsecuritytotheEmployer,theContractorshallnotifytheEngineerofsodoing.SuchsecurityshallbeintheformannexedtotheseConditionsorinsuchotherformasmaybeagreedbetweentheEmployerandtheContractor.Theinstitutionprovidingsuchsecuritysha
11、llbesubjecttotheapprovaloftheEmployer.ThecostofcomplyingwiththerequirementsoftheClauseshallbebornebytheContractor,unlesstheContractotherwiseprovides.除雇主同意之外，承包商不应做出任何有损雇主利益的认可，直至承包商按雇主的要求提交雇主此类合适的担保。该担保的数额应为雇主可能负责的且本款中的保障所适用的补偿费、损害赔偿费、手续费及诉讼费的估算额。ExcepttotheextentthattheEmployeragreesotherwise,theCo
12、ntractorshallnotmakeanyadmissionwhichmightbeprejudicialtotheEmployer,untiltheContractorhasgiventheEmployersuchreasonablesecurityastheEmployermayrequire.Thesecurityshallbeforanamountwhichisanassessmentofthecompensation,damages,chargesandcostsforwhichtheEmployermaybecomeliable,andtowhichtheindemnityun
13、derthisSub-Clauseapplies.发包人已经获得银行签发的不可撤销及无条件履约保函，担保金额为人民币壹佰柒拾陆万元。TheemployerhasobtainedanirrevocableandunconditionalperformanceguaranteeissuedbyamajorChineseBank,underwhichtheguaranteedvalueisRMB承包人向发包人提供担保金额为人民币_元的银行履约保函，按合同约定履行自己的各项义务。TheContractorshallprovidetheBankPerformanceGuaranteewithaguara
14、ntyvalueofRMBtotheEmployerforperformingallhisobligationsaccordingtotheContract.为C方获得国际一流银行的贷款提供一切必要的帮助和方便，由B方中央银行和财政部开出（包括建设期利息）和国保险公司以及贷款银行可以接受的C方所占H程费用%份额的贷款保函和担保。保函和担保期为到达转让日期（保函和担保有效期到年月一日）。loanguaranteeandwarrantyforCssharing%oftheprojectCostincludinginterestoftheconstructionperiodtobeissuedbyt

17、orshallnotifytheEngineerofsodoing.SuchsecurityshallbeinsuchformasmaybeagreedbetweentheEmployerandtheContractor.TheinstitutionProvidingsuchsecurityshallbesubjecttotheapprovaloftheEmployer,thecostofcomplyingwiththerequirementsofthisClauseshallbebornebytheContractor,unlesstheContract.发包人承包人为了全面履行合同，应互相
18、提供以下担保：Thetwopartsshouldoffereachotherthefollowingguaranteeforexecutingthecontract.发包人向承包人提供履约担保，按合同约定支付工程价款及履行合同约定的其他义务。(1)Thelandlordshallprovidetheguaranteetothecontractorforexecutionofthecontract,makingpaymentsaspertheagreedpaymentschedule.承包人向发包人提供履约担保，按合同约定履行自己的各项义务。(2)Thecontractorshallprovid
19、etheguaranteetothelandlordforexecutionofthecontractandrespectshisobligationsaspertheagreement.一方违约后，另一方可要求提供担保的第三人承担相应责任。Whenonepartyviolatesthecontract,theotherpartymayrequestittoanswerthedefault提供担保的内容、方式和相关责任，发包人承包人除如下约定外，被担保方与担保方还应签订担保合同，作为本合同附件。Thecontractorandthelandlordshallspecifythecontento
20、ftheguarantee.Aguaranteecontractisattachedtothecontract.合同生效的条件：经双方法定代表人或委托代理人签字盖章且承包人提供合同总价款12%的履约担保后生效。Effectivecondition:ThiscontractwillcomeintoforceandeffectuponthesignatureandsealbylegalrepresentativesofpartiesorauthorizedagentinadditiontoPerformanceGuaranteeissuedbycontractor,of12%oftotalcont
21、ractprice.根据施工合同的条款，承包商有义务为尽责完成施工合同提供履约保函作为担保。ThetermsoftheConstructionContractobligetheContractortoprovideaperformancebondassecurityforthedueperformanceoftheConstructionContract.履约保函。为保证按规定履约，卖方应在合同资料表H里规定的日期前（如果没有规定，则在设备发运前），自费从卖方所在国的一流国际银行开具一个等同于合同价格10%的见索即付的保函除非另有约定，它应受国际商会出版的见索即付保函统一规则约束，或按备用信用
22、证相关规则或国际商会发布的跟单信用证统一惯例由一流的国际银行开具备用信用证.Performanceguarantee.TosecuretheproperperformanceoftheContracttheSuppliershall,beforethedatestatedinContractScheduleH(orifnotsostatedbeforeshipmentoftheEquipment),obtainatitscost,fromafirs-classinternationalbankintheSupplier*Scountryafirstdemandbankguaranteeamou
23、ntingtotenpercent(10%)oftheContractPrice,unlessotherwiseagreed,whichshallbesubjecttotheUniformRulesforDemandGuaranteespublishedbytheInternationalChamberofCommerce,orastandbyL/CsubjecteithertosuchRulesortotheUniformCustomsandPracticeforDocumentaryCreditspublishedbytheInternationalChamberofCommerceiss
24、uedbyafirst-classinternationalbank.在安装调试根据19条的规定完成后，履约保函应自动减少到合同价格的5%,并在工厂接收后失效并应返还给开证行。在工厂是分阶段或区段接收时，履约保函的金额应根据每个阶段或区段的金额成比例地减少和返还。Thevalueofthisperformanceguaranteeshallautomaticallyreducetofivepercent(5%)oftheContractPriceuponcompletionofErectionTestinginaccordancewiththeprovisionsofArticle19andshallbecomenullandvoidandbereturnedtotheissuingbankuponTakingOver.IntheeventthePlantistakenoverinseparatestagesorsections,theperformanceguaranteeshallbedecreasedinvaluedandbereturnedproratothevalueofeachsuchstageorsection.
