1、/40KOREALAB2024LJlD的黜三W)TERMSANDCONDITIONOFEXHIBITl.TermsofReferenceUndertheserulesandregulations,thetermExhibitor,shallincludeallemployees,servantsandagentsofanycompanypartnership,firmorindividualtowhomspacehasbeenallocatedforthepurposeofexhibiting.Theterm4Exhibition,shallmeantheexhibitionreferredt
2、oontheapplicationandcontractform.ThetermContract*meansthecontractforexhibitionspaceattheExhibitionenteredintobetweentheManagementandtheExhibitorwhichincorporatestherulesandregulations2. ApplicationForParticipationAllapplicationforparticipationshallbemadeontheprescribedapplicationform.Theapplicationf
3、ormshallbesubmittedtotheManagementortheirauthorizedRepresentatives.ThesubmissionoftheformshalldeemtobeconfirmationofparticipationandacceptancebytheExhibitoroftheTermsofContract.TheManagementshallreservetherighttoacceptorrefuseanyapplicationwithoutdisclosingtotheExhibitoranyreasonsthereof.Theexhibito
4、rwhoisacceptedshouldremitthedeposit50%ofboothrentalfeein10daysaftersubmittingtheapplicationform.ThebalanceshouldberemittedByJan.31,2024.3. AllocationofExhibitionSpaceTheManagementshallallocatethespaceinaccordancewiththenatureofexhibitsorinanymannertheymaydeemfit.TheManagementshallreservetherighttoch
5、angethespaceallocatedtotheExhibitoratanytimepriortothecommerceoftheerectionoftheboothoftheExhibitorshouldexceptionalcircumstancesdemandand,toalterthespacetotransferorcloseentrancesandexitstotheExhibitionfacilitiesandtoundertakeotherstructuralalterationsastheymaydeemfit.Suchchangesshallbeatthediscret
6、ionoftheManagementandtheExhibitionshallhavenoclaimforcompensationasaresultofsuchchanges4. UseofExhibitionSpaceExhibitorsareonlyentitledtoexhibittheannouncedproductsandtomantheexhibitswithcompetentpersonnelduringtheopeninghoursoftheExhibition.TheManagementreservetherightstorefuseadmittancetoanyvisito
7、rtotheExhibitionortohaveaccesstoanystand.Exhibitorsarenotallowedtosub-letorassignthestandsallottedtothemtootherpartieseitherwhollyorinpartwithoutthewrittenconsentoftheManagement.ExhibitorswillbeliableforanydamagetothewallsortoanypartoftheExhibitionhallinwhichtheirexhibitsareplacedandshallnotpaintoro
8、therwisealterthefloors,ceilings,pillars,orwallswithoutthepriorconsentoftheManagement.5. BreachofContractandWithdrawalbyExhibitorWithoutprejudicetotherightsandremediesoftheManagementinrespectofanybreachoftheContractonthepartoftheExhibitor;theManagementmayattheirdiscretionallowtheExhibitortowithdrawfr
9、omtheExhibitionsubjecttothefollowingconditions:a. TheExhibitormustgivewrittennoticetotheManagementthathedesirestowithdrawandiftheManagementallowsuchwithdrawaltheywillnotifytheExhibitoroftheirdecisioninwritingb. AnypaymenttotheManagementwillnotberefunded.c. Shouldtheexhibitorfailtoobserveorcomplywith
10、anyofthetermsandconditionscontainedhereinoriftheExhibitorshallfailtopayanyoftheunitcostsatthetimeandinthemanneraforesaid,thentheManagementmaythereuponbywrittennoticegiventotheExhibitorrescindthecontract/40KOREALAB2024LJlD蟠吗飕三W)d. UpontheManagementexercisingtheirrighttorescindthecontractundersub-clau
11、se(c)ofthisclause,theymaybutarenotobligedtoreletorotherwisedealwiththeExhibitionspacecontractedbytheExhibitorindefaultonsuchconditionsastheManagementhavingelectedtobutnotabletoreletthesaidExhibitionspace,theExhibitorindefaultShallbeliabletopaytheentireunitcoststotheManagementasliquidateddamagesforth
12、elossofrental6. ChangesTheManagementreservetherighttochangethevenueanddurationoftheExhibitionifexceptionalcircumstancessodemandintheeventofchangeofvenueand/orduration,theagreementtoparticipateshallremaininforcesolongastheExhibitorisinformedofachangeofvenueand/ordurationorcancellationoftheExhibition,
13、theExhibitorsshallnotbeentitledtoanyclaimforcompensationinconnectionwiththeirreservationforparticipation.7. ConstructionandDecorationofStandExhibitorwillbeallowedtodecoratetheirunitsasperscheduledinExhibitor,sManual.AnydamagescausedbytheExhibitorsorhis/itscontractorstootherExhibitorsorcommonproperty
14、shallbetheresponsibilityoftheExhibitor.AllExhibitorsmustcompletetheirconstructionanddecorationbythedateandtimestipulatebytheManagement.8. MovementofExhibitsa. ExhibitorsshallbeartheresponsibilityandexpensesforthetransportofexhibitstotheExhibitionvenueb. Exhibitorsshallmaketheirownarrangementforstora
15、geandwarehousingoftheirexhibits.c. ExhibitorsshallremoveallexhibitsfromtheExhibitionhallwithintheperiodstipulatedbytheManagementandshallindemnifytheManagementagainstanylossbyreasonofthedelayordamagetotheExhibitionhall.9. 17、orCivilAuthorityrequisitiond. Fire,flood,typhoon,excessivelyinclementofweather;earthquake,oracombinationofthesamee. Damagecausedbyanaerialobjectoraircraftf. Strikesorlockoutsbyworkmen.IftheExhibitioniscancelled,reducedorpostponedthenandinsucheventtheunitcostspaidtotheManagement,oranypartthereofmaybe

Uponacancellation(partialorfull),boothswillbereassigned.Exhibitormayberequiredtomovelocationwhentheyrequestareductioninspace.取消参展或缩减参展面积，展商展位将被重新分配。展商申请展位面积缩小，将被要求移动展位。e. IfcancelledonbeforeJan.31,2023duetoinevitablecircumstancessuchaspandemic,epidemic,orplague(e.g.C
21、OVID-19),theexhibitorpaidamountwillbecarriedovertothenextyear,e.2023if-1月31日前因大流行、流行病或瘟疫(例如COVID-19)等不可避免的情况而取消的，参展商支付的金额将结转到下一年。11. SecurityTheManagementshalltakeallsecurityprecautionsintheinterestoftheExhibitorsandvisitors.However;theManagementshallnotbeheldresponsibleforanylossortheftorexhibitsat
22、theExhibitionhallduringthebuild-up,exhibitionanddismantlingperiod.TheManagementshallalsonotbeheldresponsibleforanylossordamagetoexhibitsoranyarticlesbelongingtotheExhibitors.12. FireRegulationsAllmaterialsusedinstandsandexhibitionconstructionsmustbeproperlyfireproofedinaccordancewithlocalregulations
23、.FiremarshalswillpatroltheExhibitionfacilitiesandwillbeauthorizedtostopanydemonstrationsthatarepotentialfirehazards.13. Insurance,LiabilityandRisksAllExhibitorsshallinsure,indemnifyandholdtheManagementandthevenueownersharmlessinrespectofallcosts,claims,demandsandexpensestowhichtheymaybesubjectasares
24、ultoflossoforinjuryarisingtoanypersonshowsoevercausedwhilethesaidpersonsareuponorexaminingorpassingtheExhibitionstands,duringthetenancyoftheExhibition.Theliabilityorrisksoftheemployees,agentsorexhibitsshallbetheresponsibilitiesoftheExhibitors.14. SupplementaryClausesWhenevernecessary,theManagementsh
25、allhavetherighttoissuesupplementaryregulationsinadditiontothoseintheTermsofContracttoensurethesmoothmanagementoftheExhibition.Anyadditionalwrittenregulationand/orinstructionsshallformpartoftheseTermsofContractandtheyshallbebindingontheExhibitors.15. ThefailuretoobjecttoanybreachofanyclausehereinbytheManagementshallnotconstituteagreementtomodificationofthisagreementorawaiverofanysubsequentbreachofsuchclause.16. TheconstructionoftheTermsofContracthereinwillbegovernedbylawsofKorea.
