5、rcialArbitrationCenter(2023年11月22日上海市第 十六届人民代表大会常务委员 会第八次会议通过)(Adoptedatthe8thsessionoftheStandingCommitteeoftheSixteenthShanghaiMunicipalPeoplesCongressonNovember22,2023)第一章总则ChapterIGeneralProvisions第一条为了推进国际商 事仲裁中心建设,加强涉外法 治保障和服务工作,营造市场 化、法治化、国际化一流营商 环境,根据中华人民共和国 仲裁法(以下简称仲裁 法)等有关法律、行政法规 的规定,结合本市实

6、际,制定 本条例QArticle1Forthepurposesofpromotingtheinitiativeforaninternationalcommercialarbitrationcenter,strengtheningforeign-relatedlegalguaranteesandservices,andcreatingamarket-oriented,law-based,andinternationalizedfirst-classbusinessenvironment,thisRegulationisdevelopedinaccordancewiththeArbitration

7、LawofthePeoplesRepublicofChina(ArbitrationLaw)andotherrelevantlawsandadministrativeregulations,consideringtheactualconditionsofthiscity.第二条本市优化仲裁发 展环境,推动仲裁业务对外开 放,培育国际一流仲裁机构, 打响上海仲裁品牌,提高上海 仲裁的公信力、影响力和国际 市场竞争力,加快打造仲裁制 度接轨国际、仲裁资源高度集 聚、仲裁服务功能健全的面向 全球的亚太仲裁中心。Article2ThiscityW川OPtimiZethearbitrationdevel

8、opmentenvironment,promotetheopeningofarbitrationbusiness,fosterworld-classarbitrationinstitutions,increasethevisibilityofShanghai,sarbitrationservices,enhancecredibility,influence,andcompetitivenessininternationalmarketsforShanghaisarbitrationservices,andcreateagloballyorientedAsia-Pacificarbitratio

9、ncenterwithanarbitrationsystemalignedwithinternationalstandards,ahighconcentrationofarbitrationresources,andsoundarbitrationservicefunctions.第三条市人民政府应当 加强对本市推进国际商事仲裁 中心建设工作的领导,统筹协 调工作中的重大事项。Article3TheMunicipalPeople,sGovernmentshallstrengthenitsleadershipinpromotingtheinitiativeforaninternationalco

10、mmercialarbitrationcenterinthiscityandcoordinatemajormatters.市司法行政部门负责指导监督 本市仲裁工作,协调推进国际 商事仲裁中心建设有关工作。Themunicipaljusticedepartmentshallberesponsibleforguidingandsupervisingarbitrationinthiscity,aswellascoordinatingthepromotionoftheinitiativefortheinternationalcommercialarbitrationcenter.市发展改革、财政、人力

11、资源 社会保障、经济信息化、教 育、金融、商务、交通、知识 产权、市场监管、公安、房屋 管理等部门和相关区人民政府 应当按照各自职责,加强协同 配合,具体落实推进国际商事 仲裁中心建设相关工作。Themunicipaldevelopmentandreform,finance,humanresourcesandsocialsecurity,economyandinformationtechnology,education,finance,commerce,transportation,intellectualproperty,marketregulation,publicsecurity,hou

12、singmanagement,andotherdepartments,alongwiththerelevantdistrictpeoplesgovernments,shall,withintheirpurview,strengthencoordinationandcooperationtoimplementtheworkrelatedtopromotingtheinitiativeforaninternationalcommercialarbitrationcenter.第四条本市优化完善推 进国际商事仲裁中心建设财政 资金投入机制,支持仲裁行业 发展、人才培养和机构建设 等,发挥财政资金的引

13、导和激 励作用。Article4Thiscitywilloptimizeandimprovethegovernmentgrantmechanismforpromotingtheinitiativeforaninternationalcommercialarbitrationcenter.Themechanismwillsupportthedevelopmentofthearbitrationindustry,trainingofprofessionals,anddevelopmentofinstitutions,ensuringthatgovernmentgrantsserveasguidan

14、ceandincentives.第五条人民法院依法支 持仲裁探索创新,优化对仲裁Article 5 Peoplescourtsshallsupportarbitrationexplorationsandinnovations,optimizethejudicialsupervisionand的司法监督与保障机制,完善 仲裁司法审查标准,加强平台 和信息化建设,促进仲裁与诉 讼相互衔接,为推进国际商事 仲裁中心建设提供优质高效的 司法保障。guaranteemechanismforarbitration,improvejudicialreviewstandardsforarbitration,c

16、eYangtzeRiverDeltaIntegratedArbitrationDevelopmentAllianceandcooperateinarbitrationwithotherregionsinthecountry.本市推动国际商事仲裁领域的 交流合作,通过举办国际仲裁 论坛、参与规则制定、建立合 作机制等方式,与境外仲裁机 构和相关国际组织加强信息和 人员交流。Thiscitywillpromoteexchangesandcooperationinthefieldofinternationalcommercialarbitration.Itwillexchangeinformatio

17、nandpersonnelwithoverseasarbitrationinstitutionsandrelevantinternationalorganizationsbyholdinginternationalarbitrationforums,participatinginruleformulation,establishingcooperationmechanisms,andothermeans.第二章机构和人员队伍建设ChapterIlDevelopmentofInstitutionsandProfessionals第七条本市仲裁机构是 依法组建并经市司法行政部门 登记设立,提供仲裁

18、服务的非 营利法人,纳入本市法人库管 理。Article7Arbitrationinstitutionsinthecityarenon-profitlegalpersons,legallyestablishedandregisteredwiththemunicipaljusticedepartmenttoprovidearbitrationservices.Theyshallbeincludedinthiscityslegalpersondatabaseformanagement.本市仲裁机构依法独立开展仲 裁活动,自主管理仲裁业务。Arbitrationinstitutionsintheci

19、tyshallindependentlyandlawfullyconductarbitrationactivitiesandhaveautonomyinmanagingitsarbitrationbusiness.第八条本市仲裁机构应 当依法制定章程,建立健全决 策、执行、监督相互分离、有 效制衡的法人治理结构。Article8Arbitrationinstitutionsinthecityshallformulatebylawsinaccordancewiththelawandestablishandimproveacorporategovernancestructurethatensure

20、stheseparationofdecision-making,execution,andsupervision,witheffectivechecksandbalances.本市仲裁机构按照国家和本市 有关规定,享有财务、人事、 经费、薪酬等方面的决策和管 理自主权。Arbitrationinstitutionsinthecityenjoydecision-makingandmanagementautonomyinfinance,personnel,funding,compensation,andotheraspectsinaccordancewiththerelevantprovision

21、sissuedbythestateandthiscity.第九条鼓励本市仲裁机 构运用大数据、云计算、区块 链、人工智能等新兴信息技 术,在符合数据安全法律规定 和仲裁保密原则的前提下,加 强智慧仲裁、绿色仲裁建设, 完善仲裁案件信息化管理系 统,优化线上仲裁程序和工作 流程,实现线上仲裁与线下仲 裁协同发展,提供优质、高 效、便捷的商事争议解决服 务。Article9Arbitrationinstitutionsinthecityareencouragedtoleverageemerginginformationtechnologiessuchasbigdata,cloudcomputing

22、,blockchain,andartificialintelligence,onthepremiseofcomplyingwithlegalprovisionsondatasecurityandtheprincipleofarbitrationconfidentiality,tostrengthensmart,greenarbitration,improvethemanagementsystemforarbitrationcases,optimizeonlinearbitrationproceduresandworkprocesses,realizethecoordinateddevelopm

23、entofonlineandphysicalarbitration,andprovidequality,efficient,andeasilyaccessiblecommercialdisputeresolutionservices.第十条鼓励本市仲裁机 构聘请境外专业人士担任决策 机构组成人员、仲裁员和仲裁 秘书,提高机构管理和仲裁从 业人员的国际化水平。Article10Arbitrationinstitutionsinthecityareencouragedtoengageoverseasprofessionalsasmembersofthedecisionmakingbody,arbi

24、trators,andtribunalsecretaries,aimingtointernationalizeinstitutionalmanagementandarbitrationpractitioners.支持本市仲裁机构在境外设立 分支机构或者办事机构,拓展 国际仲裁业务,提高涉外仲裁 服务能力。Arbitrationinstitutionsinthecityaresupportedinestablishingoverseasbranchesorofficestoexpandinternationalarbitrationbusinessandenhancetheircapabilit

25、iesinforeign-relatedarbitrationservices.第十一条本市仲裁机构 应当建立健全仲裁员聘任管理 办法,完善仲裁员资格审查、 管理监督、考核奖惩、退出等 机制;加强业务培训,提高仲 裁员专业能力、办案水平和职 业素养;探索成立仲裁员职业 道德委员会,加强仲裁员职业 道德建设。Article11Arbitrationinstitutionsinthecityshallestablishandenhancemeasuresformanagingtheengagementofarbitratorstoimprovemechanismsforarbitratorelig

26、ibilityexamination,management,supervision,assessment,rewards,punishments,anddismissal,amongothers.Theyshallprovidebusinesstrainingtoenhancetheprofessionalabilities,case-handlingSk川s,andoverallprofessionalismofarbitrators.Additionally,theyshallexploretheestablishmentofacommitteeontheprofessionalethic

27、sofarbitratorstoraisethestandardsofprofessionalethics.本市仲裁机构应当依法聘任仲 裁员,并按照不同专业设仲裁 员名册。本市仲裁机构可以在 仲裁规则中明确名册外仲裁员 选定规则,当事人可以按照规 则,从名册外选择符合仲裁 法规定条件的仲裁员。第十二条本市仲裁机构 应当加强仲裁秘书的业务能力 培训和职业道德教育,建立分 类分级管理制度和职级晋升、 考核评价机制,推进仲裁秘书Arbitrationinstitutionsinthecityshallengagearbitratorsinaccordancewiththelawandcreatear

28、osterofarbitratorsbyprofession.Theymayspecifyrulesforselectingarbitratorsoutsidetherosterintheirarbitrationrules;followingthespecifiedrules,partiesmayselectarbitratorsfromoutsidetherosterwhomeettheconditionsundertheArbitrationLaw.Article12Arbitrationinstitutionsinthecityshallstrengthentheprofessiona

29、lskilltrainingandprofessionalethicseducationoftribunalsecretaries,andestablishaclassifiedandhierarchicalmanagementsystem,alongwithapromotion,assessment,andevaluationmechanism,职业化和专业化建设。ensuringtheprofessionalismandspecializationoftribunalsecretaries.第十三条支持本市仲裁 机构实行符合国情、接轨国 际、适应发展的仲裁收费制 度,建立具有国际市场竞争力

30、 的仲裁员报酬体系。Article13Arbitrationinstitutionsinthecityshallbesupportedinimplementinganarbitrationfeesystemalignedwithnationalconditions,internationalstandards,anddevelopmentsandestablishinganarbitratorcompensationsystemthatiscompetitiveininternationalmarkets.第十四条本市仲裁机构 应当按照国家和本市有关规定 设立仲裁事业发展基金,每年 投入一定比

31、例的净收益,主要 用于加强仲裁法律制度研究, 参与国际仲裁、调解和商事法 律规则制定,培养和引进仲裁 高端人才,支持仲裁事业发 展。Article14Arbitrationinstitutionsinthecityshallestablishanarbitrationdevelopmentfundinaccordancewiththerelevantprovisionsissuedbythestateandthiscity,anduseacertainpercentageofnetincomeeveryyearforresearchonthelegalsystemforarbitration,

32、participationinformulatinginternationalrulesofarbitration,mediation,andcommerce,thetrainingandrecruitmentofhigh-endarbitrationprofessionals,andsupportfortheoveralldevelopmentofarbitration.本市仲裁机构应当在机构章程 中明确基金的用途、使用条件 和决策机制。Arbitrationinstitutionsinthecityshallspecifythepurpose,conditionsofuse,anddeci

33、sion-makingmechanismofthefundinitsbylaws.第十五条对受自然灾 害、公共卫生事件等突发事件 影响的当事人,鼓励本市仲裁 机构减免或者暂缓收取服务费 用。Article15Ifpartiesareaffectedbyemergenciessuchasnaturaldisastersandpublichealthincidents,arbitrationinstitutionsinthecityareencouragedtowaivepartorallofordelaycollectingservicefees.鼓励本市仲裁机构提供商事争议解决、法律风险防范的

34、公益Arbitrationinstitutionsinthecityareencouragedtoprovideprobonoconsultingservicesforcommercialdisputeresolution性咨询服务。andlegalriskprevention.第十六条经市司法行政 部门登记并报国务院司法行政 部门备案,境外知名仲裁及争 议解决机构可以在本市设立业 务机构,在国际商事、海事、 投资等领域开展涉外仲裁业 务。Article16Afterregisteringwiththemunicipaljusticedepartmentandfilingforrecordat

35、ionwiththejusticedepartmentoftheStateCouncil,awell-knownoverseasarbitrationanddisputeresolutioninstitutionmayformabusinessofficeinthiscitytoconductforeign-relatedarbitrationbusinessinfieldssuchasinternationalcommerce,maritimeaffairs,andinvestment.本市优化设立登记程序,便利 办理手续,为境外知名仲裁及 争议解决机构设立业务机构 (以下简称境外仲裁业务机

36、 构)提供支持。Thiscitywilloptimizetheformationregistrationproceduresandstreamlineapplicationprocedurestosupportwell-knownoverseasarbitrationanddisputeresolutioninstitutionsinestablishingbusinessoffices(overseasarbitrationbusinessoffices).第三章仲裁机制创新ChapterIIIInnovationinArbitrationMechanisms第十七条支持本市仲裁 机构立足国

37、情,研究和借鉴国 际仲裁先进经验,制定实施并 及时优化与国际通行规则接 轨、适应仲裁业务发展的仲裁 规则。Article17Arbitrationinstitutionsinthecityaresupportedinstudyingandlearningfromadvancedinternationalarbitrationpracticesbasedonnationalconditionsandformulating,implementing,andpromptlyoptimizingarbitrationrulesalignedwithinternationallyacceptedrule

38、sandthedevelopmentofarbitrationbusiness.第十八条本市仲裁机构 应当保障仲裁庭依法独立办理 仲裁案件,规范仲裁员选定程 序和利益冲突审查机制,健全 仲裁员指定工作规则,完善仲Article18Arbitrationinstitutionsinthecityshallensurethatarbitraltribunalshandlearbitrationcasesindependentlyinaccordancewiththelaw,standardizethearbitratorselectionprocedureandconflictofinterest

39、reviewmechanism,andimprovethe裁员利益冲突披露和回避制 度。rulesforarbitratorappointment,aswellastheconflictofinterestdisclosureandchallengesystemforarbitrators.本市仲裁机构应当在遵循仲裁 保密原则的前提下,完善有关 规则和程序指引,发布可以免 费获取的经当事人同意并作脱 敏处理的裁决摘要,增强仲裁 裁决的可预见性。Arbitrationinstitutionsinthecityshall,undertheprincipleofarbitralconfidentia

40、lity,improverelevantrulesandproceduralguidelines,andwiththeconsentoftheparties,publishthefreelyaccessibleandanonymizedsummariesofawards,soastoenhancethepredictabilityofarbitralawards.支持本市仲裁机构优化仲裁程 序和工作流程,建立快速、简 易仲裁程序,提高仲裁案件快 速结案率。Arbitrationinstitutionsinthecityaresupportedinoptimizingarbitrationpro

41、ceduresandworkprocessesbyestablishingexpeditedandsummaryarbitrationprocedurestoincreasetherateofexpeditiouslyconcludingarbitrationcases.第十九条支持本市仲裁 机构在海事海商、航空航运、 知识产权、建设工程、生态环 保、金融证券期货以及数字经 济、跨境投资、跨境交易、跨 境物流等领域开展专业仲裁服 务品牌建设,制定专门仲裁规 则,提升仲裁专业化水平。Article19Arbitrationinstitutionsinthecityaresupportedinla

42、unchingprofessionalarbitrationserviceinitiativeinmaritimeaffairs,aviation,shipping,intellectualpropertyrights,constructionprojects,ecologyandenvironmentalprotection,securitiesandfutures,digitaleconomy,cross-borderinvestment,cross-bordertrade,cross-borderlogistics,andotherfields,formulatingspecialarb

43、itrationrules,andimprovingarbitrationprofessionalism.第二十条本市按照国家 部署,探索在具有涉外因素的 商事、海事领域,可以约定在 上海、按照特定仲裁规则、由 特定人员进行临时仲裁。Article20Thiscitywill,inaccordancewithnationalarrangements,explorethepossibilityofallowingagreementsonadhocarbitrationbyspecificpersonsinShanghaiunderspecificarbitrationrulesinforeign

44、-relatedcommercialandmaritimefields.依据前款规定开展的仲裁活动 应当遵循诚实信用、公正独 立、意思自治的原则,不得损 害国家利益、社会公共利益和 第三方合法权益,不得违反法 律、行政法规的强制性规定。 具体工作推进办法,由市司法 行政部门制定QArbitrationadministeredinaccordancewiththeprovisionsoftheprecedingparagraphshalladheretotheprinciplesofgoodfaith,impartiality,independence,andautonomyofwill.Its

45、hallneithercompromisethenationalinterest,thepublicinterest,orthelawfulrightsandinterestsofthirdparties,norviolatethemandatoryprovisionsoflawsandadministrativeregulations.Specificpromotionmeasuresshallbeformulatedbythemunicipaljusticedepartment.鼓励本市仲裁机构和境外仲裁 业务机构根据当事人的约定或 者请求,提供协助组庭等服 务。Arbitrationin

46、stitutionsinthiscityandoverseasarbitrationbusinessofficesareencouragedtoprovideservicessuchasassistingintheformationoftribunalsaccordingtothepartiesagreementorattheirrequest.第二十一条在申请仲裁 前和仲裁程序进行期间,为了 保障仲裁程序的开展、查明争 议事实或者裁决执行,当事人 可以依法向人民法院申请采取 财产保全、证据保全等措施。Article21Beforeapplyingforarbitrationandduring

47、thearbitralproceedings,apartymay,inordertoensuretheconductofthearbitralproceedings,ascertainthefactsindispute,orenforceanaward,movethepeoplescourttotakemeasurestopreservepropertyandevidence,amongothers,inaccordancewiththelaw.在仲裁程序进行期间,当事人 也可以向仲裁庭申请采取前款 所规定的措施,仲裁庭可以根 据仲裁案件的情况提出意见后 提交有管辖权的本市人民法 院Q人民法院

48、依法进行审查后 作出裁定,并依法执行。Duringthearbitralproceedings,apartymayalsomovethearbitraltribunaltotakethemeasuresspecifiedintheprecedingparagraph.Thearbitraltribunalmaygiveitsopinionbasedonthecircumstancesofthearbitrationcase,andsubmitittoapeoplescourtwithjurisdictioninthiscity.Thepeoplescourtshallmakearulingaf

49、terexaminationandenforcesuchmeasuresinaccordancewiththelaw.第二十二条本市仲裁机 构和境外仲裁业务机构管理的 仲裁地在上海的仲裁案件,当 事人及其代理人因客观原因不 能自行收集证据,仲裁庭调查 收集亦有困难,但确有必要收 集,且证据所在地或者可收集 地在本市的,本市人民法院可 以根据仲裁机构的申请给予支 持QArticle22InanarbitrationcaseinShanghaimanagedbyanarbitrationinstitutioninthecityoranoverseasarbitrationbusinessoffice,whenapartyanditsagenta
