ManufactureofProducts.1.产品的制作CustomerResponsibility.EveryweeksCustomerwillprovideManufacturerwithaweekrollingforecast(the“VolumeFOreCast)fortheproductssetforthonScheduleA(theProducts).客户的责任。每隔一周,客户将向制作商提供一份一周的滚动预测(“数量预测”),内容为附表A中所列的产品(”产品“)。a) Thefirstweeksofthisrollingforecastwillrepr

7、rdancewiththeformulations,policies,procedures,standardsandspecificationssetforthonScheduleB(whichformulations,policies,procedures,standardsandspecificationsshallbesubjecttosuchtolerancesandvariancesasarecustomaryinthefrozenpizzaindustrygenerally)andinaccordancewithgoodmanufacturingpracticesprevailin

RawMaterialsandPackaging.2.原材料和包装。a) Manufacturershall,atitsexpense,furnishallrawmaterials,ingredientsandpackagingmaterialsrequiredforthemanufacture,production,processingandpackagingoftheProducts(theMaterials)setforthonScheduleA.Customer

11、hastherighttocontractforanyMaterialsandrequireManufacturertopurchaseusingthesecontracts,providedthatifCustomerdesignatessuppliersforanyMaterials,then(i)ManufacturerwillbuythoseMaterialsusingManufacturer*snormalbusinessdocumentsandterms,(ii)thesuppliersmustbeauditedandapprovedbytheManufacturer(includ

12、ingsatisfactionofManufacturersqualitycontrolstandards),and(iii)theManufacturershallnotbeliableorresponsibleforanyqualityproblemsorserviceinterruptionscausedbytheCustomerdesignatedsupplier.a)制作商应自费提供附表A所列产品的制造、生产、加工和包装所需的所有原材料、成分和包装材料(“材料”)o客户有权就任何材料签订合同,并要求制作商使用这些合同进行采购,但如果客户为任何材料指定了供应商,那么(i)制作商将使用制

14、tachedtothisAgreementasScheduleE(thePurchasingMatrix).b)制作商应按其认为合适的数量购买材料,但除非得到书面批准,否则客户应仅对根据本协议所附的采购矩阵作为附表E(“采购矩阵”)通常使用的材料数量承担责任。c) ManufacturerwillprovidetoCustomerwithindaysoftheendofeachcalendarmonthzManufacturersactualusageandcostsforallMaterials(IngredientCosts).EachPartyagreesthatsuchvariance

15、suncoveredthroughthereconciliationfortheIngredientCostsshallbeproperlyandpromptlyaccountedforandreimbursed(eithertoManufacturerorCustomerasappropriate)throughacreditmemoorpaymenttobemadewithindaysimmediatelyaftertheendoftheprecedingmonth.ThePartiesshallzonaquarterlybasis,reviewforecastedmaterialcost

16、stoadjustthepriceoftheProductsforthefollowingquarter.c)制作商将在每个日历月末的一天内向客户提供制作商所有材料的实际使用量和成本(”成分成本”)o各方同意,通过核对配料成本而发现的差异,应在前一个月结束后的一天内,通过信用备忘录或付款的方式,正确、及时地说明和偿还(根据情况,偿还给制作商或客户)。双方应每季度审查一次预测的材料成本,以调整下一季度的产品价格。d)ManufacturerwillusecommerciallyreasonableeffortsandprocessesandinvestigateandproposetoCusto

17、merappropriatechangesintheFormulas(asdefinedbelow)inanefforttoachievecostsavingsforCustomer.Notwithstandingtheforegoing,allFormulachangesmustbeapprovedbyCustomerinadvanceinwriting,whichapprovalshallnotbeunreasonablywithheld.d)制作商将使用商业上合理的努力和程序,调查并向客户提出对配方(定义见下文)的适当改变,以努力为客户节约成本。尽管有上述规定,所有配方的改变必须事先得到

Exclusivity.3.独家供应商a) DuringtheInitialTermofthisAgreement,aslongasManufacturerisingoodstandingwithCustomer,ManufacturershallbetheexclusivesupplierofFrozenPizzastoCu

20、stomer.a)在本协议的初始期限内,只要制作商与客户保持良好关系,制作商应是客户的冷冻披萨的独家供应商。b) Duringthelengthofthisagreement,ifCustomerhascompliedwiththeMinimumPurchaseAmountrequirementduringthepriorcalendaryear,Manufactureragreesthatitwillnotmanufactureanypizzaproductwithaselfrisingcrustthatiscertifiedas“Organic“foranycustomerintheret

21、ailfoodmarket,otherthanCustomer,withoutCustomerspriorwrittenconsent(whichconsentshallnotbeunreasonablywithheld),butCustomeragreesthatManufacturershallbepermittedtomanufacturethefollowingwithoutfirstobtainingCustomerswrittenconsent:(i)“natural“products(includingnatural”pizzaproducts),(ii)“Organic“piz

23、售食品市场以外的市场生产有自开包装的有机”比萨饼产品。c) WithrespecttonewproductsdevelopedinaccordancewiththetermsofthisAgreementandmodificationsofManufacturer/sexistingProductsforCustomer7sbenefit(collectively,“NewDevelopments1)lownershipofintellectualpropertyrightsinrespectofsuchNewDevelopmentsshallbeasfollows:(i)NewDevelop

24、mentsthataredevelopedexclusivelybyCustomershallbethesolepropertyoftheCustomer,and(ii)NewDevelopmentsthataredevelopedeitherexclusivelybyManufacturerorjointlybyManufacturerandCustomershallbethejointpropertyofManufacturerandCustomerforaperiodofmonths(meaningthatManufacturershallbetheexclusivemanufactur

25、erofanyProductsincorporatingtheNewDevelopmentforaperiodofmonths).c)对于根据本协议条款开发的新产品和为客户利益对制作商现有产品进行的修改(统称为“新开发”),与此类新开发有关的知识产权的所有权应如下。(i)完全由客户开发的新品应是客户的唯一财产,和(ii)完全由制作商或由制作商和客户共同开发的新品应是制作商和客户的共同财产,期限为一个月(也就是制作商应是任可包含新的产品的独家制作商,期限为一个月)。d) Attheendofsuchmonthperiod(providedthatManufacturerhasbeentheexc

26、lusivemanufacturerofanyProductsincorporatingtheNewDevelopmentduringthe-monthperiod)ManufacturershallassigntoCustomer(andCustomershallown)allright,titleandinterestinsuchNewDevelopment.IntheeventCustomerelectstoterminatethisAgreementattheendoftheInitialTermbutpriortothecompletionofthemonthperiod,Custo

27、merwillhavetherighttopurchasesoleownershipofeachjointlyownedNewDevelopmentsfor$foreachmonthremaining.IntheeventManufacturerterminatesthisAgreementwithoutCauseownershipofallNewDevelopmentswilltransferimmediatelytotheCustomer.d)在该一个月期间结束时(条件是制作商在一个月期间一直是包含新开发项目的任何产品的独家制作商),制作商应将该新开发项目的所有权利、所有权和利益转让给客户

28、(而客户应拥有)。如果客户在初始期限结束时选择终止本协议,但在一个月期间完成之前,客户将有权以每个剩余月份的美元购买每个共同拥有的新开发项目的唯一所有权。如果制作商无故终止本协议,所有新发展项目的所有权将立即转移给客户。e) Recipes/Formulas.ThePartiesagreethatthespecificrecipesand/orformulasprovidedbyCustomerandusedbyManufacturerinaccordancewiththeSpecificationsfortheProducts(the“Formulas)willremainexclusive

29、totheCustomerandwillnotbedisclosedbytheManufacturertoothercustomersoftheManufacturerortoanyotherpersonorentity.CustomerherebygrantstoManufactureralimited,non-exclusiveznon-transferablelicensetousetheFormulasforthepurposeofallowingManufacturertoperformitsobligationsunderthisAgreement.e)原料/配方。双方同意,由客户

30、提供并由制作商根据产品规格使用的具体配方和/或公式(“配方”)将为客户所独有,制作商不会向制作商的其他客户或任何其他个人或实体披露。客户特此授予制作商有限的、非独家的、不可转让的许可,以允许制作商履行其在本协议下的义务而使用这些配方。f) Facility.Manufacturershallproduce,packageandstoretheProductsatitsfacility(s)assetforthonScheduleA.Manufacturerrepresentsandwarrantsthat,forthetermofthisAgreementManufacturershallno

31、tsubcontracttoanythirdpartyeithertheoperationofthefacilityortheoperationofanyprocessingequipmentlocatedinthefacility.UnlessthereisamaterialchangeintheProductsand/orSpecifications,Manufacturershallberesponsibleforanychangesnecessarytothefacilityandforthepurchaseofanyprocessingequipmentnecessarytoprod

32、ucetheProducts.设施。制作商应在附表A所列的设施内生产、包装和储存产品。制作商声明并保证,在本协议期限内,制作商不得将设施的运作或位于设施内的任何加工设备的运作转包给任何第三方。除非产品和/或规格有重大改变,否则制作商应负责对设施进行任可必要的改变,并负责购买生产产品所需的任何加工设备。g) RejectionofProducts.AtanytimewithindaysafterthedateProductsleaveManufacturer7sfacilityforfinalshipmentinaccordancewithCustomersinstructions,Custom

33、ermayrejectandrefusetopayforProductsthat(i)havebeendamagedduringmanufacturing,storageorhandlingwhiletheProductswereinManufacturer*scustody,or(ii)arenotinmaterialcompliancewiththetermsandconditionsofthisAgreementatthetimethattheyleftManufacturerscustody.Inaddition,Customer,atanytime,mayrejectanyProdu

34、ctsthatdidnotfullycomplywiththeSpecificationsatthetimethattheyleftManufacturerscontrol.g)产品的拒收。在产品按照客户的指示离开制作商的设施进行最终装运后的一天内的任何时候,客户可以拒绝接受以下产品并拒绝付款:产品在制作商保管期间在制造、储存或处理过程中被损坏,或(ii)在离开制作商的保管时不符合本协议的条款和条件。此外,客户可在任何时候拒绝任何在离开制作商的控制时不完全符合规格的产品。IfCustomerhaspreviouslypaidManufacturerforProductsthatarelater

35、rejectedbyCustomerforfailuretofullycomplywithSpecifications,CustomershallinvoiceManufacturer,includingallsupportingdocumentation,forthecostofsuchrejectedProducts(includingthecostsofanyMaterialsprovidedbyCustomertoManufacturer,ifany)andforanyfreight,handlingorotherdispositioncostsorexpensesincurredby

36、CustomerinconnectionwithsuchrejectedProductsandshallreceivecreditfromManufacturer(orpaymentfromManufacturer,ifnoamountsarethenduefromCustomertoManufacturer)withindaysofsuchinvoice.如果客户先前已为产品向制作商付款,但后来因未能完全符合规格而被客户拒收,则客户应就此类拒收产品的成本(包括客户向制作商提供的任何材料的成本,如果有的话)以及客户因此类拒收产品而产生的任何运费、装卸费或其他处置成本或费用向制作商开具发票,并应

37、在此类发票开具后一天内从制作商处收到付款(或从制作商处收到付款,如果客户当时没有应付给制作商的款项)OCompliancewithApplicableLaw.ThePartiesagreethatManufacturerwillprovideProductsofconsistentqualitycomposedofsafeandwholesomeingredients,manufactured,packaged,stored,andshippedunderconditionscompliantwithallapplicablefederal,state,andlocalrequirements

QualityControl4.质量控制IfanyofManufacturersfacilities,processes,orequipmentusedinconnectionwiththemanufactureandstorageofProductsorinventories(ofingredientsorProducts)areinanunsanitaryconditionordonototherwisecomplywithapplicableIawszrulesandregulations,goodmanufacturin

40、gpracticesintheindustryorwiththetermsandconditionsofthisAgreementortheSpecifications,ManufacturershallpromptlynotifyAnniesandtakesuchactionaswillcorrectthedeficienciesandbringsuchfacilities,processes,inventoriesandequipmentintocompliance.如果制作商用于制造和储存产品或库存(原料或产品)的任何设施、工艺或设备处于不卫生的状态,或不符合适用的法律、规则和条例、行业

41、内的良好生产惯例或本协议或规范的条款和条件,制作商应立即通知安妮公司并采取纠正缺陷的行动,使这些设施、工艺、库存和设备符合要求。Specifically,andnotinlimitationoftheforegoing,ManufactureragreesandcovenantsthatitshallconductallofitsbusinessactivitiesrelatedtotheperformanceofitsobligationsunderthisAgreementinfullcompliancewiththeUnitedStatesFederalFood,DrugandCosme

42、ticActzasAmended,andallapplicablefederal,stateandlocalIawszrules,regulationsandguidelines.具体而言,在不限制上述内容的前提下,制作商同意并承诺,其在开展与履行本协议规定的义务有关的所有业务活动时,应完全遵守美国联邦食品、药品和化妆品法(经修订)以及所有适用的联邦、州和地方法律、规则、条例和准则。IfManufacturerlearnsofanyconditionsthatraisesareasonablyanticipatedpossibilityoftheProductsbeingadulterated

43、ormisbranded,withinthemeaningoftheActoranyapplicablefederal,stateorlocalIawzManufacturerwillnotifyAnniezsandtheDesigneezifappointed,withintwenty-four(24)hoursofManufacturerfirstlearningofsuchconditionandzinsuchevent,ManufactureragreesandcovenantstocooperatefullywithAnniesandtheDesigneeandtoprovideal

44、linformationnecessaryforAnnie,sandtheDesigneetomakeadeterminationastowhetherarecallormarketwithdrawaloftheProductoranyAnniezsfinishedproductisnecessary.Annie,sreservestherighttodirectanysuchinvestigationandzinconsultationwiththeDesigneeandManufacturer,todeterminetheactionstobetakeninresponsetotheinv

45、estigation.如果制作商得知有任何情况引起合理预期的产品被掺假或误导的可能性,根据法案或任何适用的联邦、州或地方法律的含义,制作商将在首次得知该情况后二十四(24)小时内通知安妮公司和被指定人,并且在这种情况下,制作商同意并承诺与安妮公司和被指定人充分合作,并提供所有必要的信息,以便安妮公司和被指定人决定是否有必要召回或撤回产品或任何安妮成品的市场。安妮公司保留指导任何此类调查的权利,并在与被指定人和制作商协商后,决定采取何种行动来应对调查。InventoryControl.ManufacturershallstoreandsafeguardtheinventoryofCustomer

46、sProductstoprotectitatalltimesfromtheftzdamageorotherlossinaccordancewithManufacturer7sbestpracticesandinstrictcompliancewiththeSpecificationsandtermsofthisAgreement.Customershallhavetherightuponreasonablenoticeandduringregularbusinesshours(unlessotherwiseagreed)andatCustomer7sexpense(includingreimb

47、ursementofcostsincurredbyManufacturer)toinspectandperformaphysicalcountoftheinventoryofCustomersProductsusingsuchpersonnelofCustomerorCustomersrepresentatives(includingauditors)asCustomerdeterminestouseinitssolediscretion.库存控制。制作商应按照制作商的最佳做法并严格遵守本协议的规格和条款,储存和保护客户产品的库存,使其在任何时候都不会被盗窃、损坏或其他损失。客户应有权在合理的

49、ationthatindicatesthepresenceof(i)toxinsorallergensinManufacturer/sFacilitywhichareormaybeconsideredbyhealthauthoritiesasbeingindicativeofeitherunsanitarypracticesorpublichealthconcern,or(ii)anyharmfulbacteria(includingwithoutlimitationSalmonellaorListeria)presentinManufacturer*SfacilityorinanyrawmaterialsorfinishedProductwhereverlocated.制作商应立即通过电话通知客户指定
