5、eactsofdevelopmentandmanagementofurbanrealestate,tostrengthenthesupervisionandadministrationofdevelopmentandmanagementofurbanrealestate,andtopromoteandprotectthehealthydevelopmentofthebusinessofrealestate,thepresentOrdinanceisformulatedinaccordancewithrelevantprovisionsoftheUrbanRealEstateAdministra
6、tionLawofthePeoplesRepublicofChina.Article2Developmentandmanagementofrealestate,asreferredtointhepresentOrdinance,refertoactsoftheconstructionofinfrastructureandtheconstructionofhousesonstate-ownedlandwithinurbanplanningareasandthetransferofprojectsofdevelopmentorthesalesandleaseofcommercialhousingb
7、yenterprisesfordevelopmentofrealestate.Article3Developmentandmanagementofrealestateshall,inaccordancewiththeprincipleoftheunificationofeconomicbenefits,socialbenefitsandenvironmentalbenefits,plancomprehensively,layoutreasonably,developeintegratedIyandconstructconcertedly.城市房地产开发经营管理条例第一章总则第一条为了规范房地产
8、开发经营行为,加强对城市房地产开发经营活动的监督管理,促进和保障房地产业的健康发展,根据中华人民共和国城市房地产管理法的有关规定,制定本条例。第二条本条例所称房地产开发经营,是指房地产开发企业在城市规划区内国有土地上进行基础设施建设、房屋建设,并转让房地产开发项目或者销售、出租商品房的行为。第三条房地产开发经营应当按照经济效益、社会效益、环境效益相统一的原则,实行全面规划、合理布局、综合开发、配套建设。第四条 国务院建设行政主管部门负责全国房地产开发经营活动的监督管理工作。Article4TheconstructionadministrativeorganundertheStateCounci

11、nagementofrealestate.CHAPTERTWOENTERPRISESFORTHEDEVELOPMENTOFREALESTATEArticle5Besidescomplyingwiththerequirementsofestablishmentofenterprisesstipulatedinrelevantlawsandadministrativeregulations,toestablishenterprisesforthedevelopmentofrealestate,thefollowingrequirementsshallalsobemet:(1)haveregiste
12、redcapitalof1,000,000yuanormore;县级以上人民政府负责土地管理工作的部门依照有关法律、行政法规的规定,负责与房地产开发经营有关的土地管理工作。第二章房地产开发企业第五条设立房地产开发企业,除应当符合有关法律、行政法规规定的企业设立条件外,还应当具备下列条件:(一)有100万元以上的注册资本;(二)有4名以上持有资格证书的房地产专业、建筑工程 专业的专职技术人员,2名以上持有资格证书的专职会计 人员。(2)have4ormorefull-timetechnicalpersonnelinthefieldsofrealestateandconstructionengin
13、eering,whohaveobtainedcertificateofqualifications,and2full-timeaccountingpersonnelwithcertificateofqualifications.省、自治区、直辖市人民政府可以根据本地方的实际情 况,对设立房地产开发企业的注册资本和专业技术人员的 条件作出高于前款的规定。Inaccordancewithlocalsituations,peoplesgovernmentsofprovinces,autonomousregionsandmunicipalitiesdirectlyunderthestatecounci
14、lmaymakerequirementshigherthanthepreviousparagraphfortheestablishmentofenterprisesfordevelopmentofrealestateconcerningregisteredcapitalandthequalificationsofprofessionaltechnicalpersonnel.第六条外商投资设立房地产开发企业的,除应当符合本条例第五条的规定外,还应当依照外商投资企业法 律、行政法规的规定,办理有关审批手续。Article6Wheninvestingtoestablishrealestatedeve
15、lopmententerprises,aforeignmerchantshall,besidescomplyingwiththeprovisionsofArticle5ofthepresentOrdinance,completetheprocessofexaminationandapprovalinaccordancewiththeprovisionsoflawsandadministrativeregulationsconcerningforeign-investedenterprises.第七条设立房地产开发企业,应当向县级以上人民政府工商行政管理部门申请登记。工商行政管理部门对 符合本条
16、例第五条规定条件的,应当自收到申请之日起3 。日内予以登记;对不符合条件不予登记的,应当说明理 由OArticle7Theestablishmentofrealestatedevelopmententerprisesshallapplytoberegisteredwithadministrativeorgansforcommerceandindustryofpeoplesgovernmentsatorabovethecountylevel.ForapplicationsthatmeetthetherequirementsofArticle5ofthepresentOrdinance,admin
17、istrativeorgansforindustryandcommerceshallregisterwithin30daysafterreceivingtheapplication;forthosethatdontmeettherequirementsandsoshallnotberegistered,thereasonsIherefbrshallbeexplained.Whenexaminingapplicationforregistrationoftheestablishmentofrealestatedevelopmententerprises,administrativeorgansf
18、orindustryandcommerceshallheartheopinionoftheadministrativedepartmentsresponsibleforrealestatedevelopmentatthesamelevel.Article8Within30daysafterdrawingmanagementcertificate,enterprisesforrealestatedevelopmentshallputonrecordwiththefollowingdocumentswithadministrativeorgansresponsibleforrealestatede
19、velopmentoftheregionoftheadministrativeorganofregistration:(1) acopyofthemanagementcertificate;(2) thecharteroftheenterprise;(3) certificateforverificationofcapital;(4) IDofthelegalrepresentativeoftheenterprise;(5) certificateofqualificationsandcontractofemploymentofprofessionaltechnicalpersonnel.Ar
20、ticle9Inaccordancewiththeassets,professionaltechnicalpersonnelandachievementsindevelopmentandmanagementofrealestatedevelopmententerprises,administrativeorgansresponsibleforrealestatedevelopmentshallcheckandratifythelevelofqualificationsoftheenterpriseofrealestatedevelopmentthathasbeenputon工商行政管理部门在对
21、设立房地产开发企业申请登记进行审查时,应当听取同级房地产开发主管部门的意见。第八条房地产开发企业应当自领取营业执照之日起30日内,持下列文件到登记机关所在地的房地产开发主管部门备案:(一)营业执照复印件;(二)企业章程;(三)验资证明;(四)企业法定代表人的身份证明;(五)专业技术人员的资格证书和聘用合同。第九条房地产开发主管部门应当根据房地产开发企业的资产、专业技术人员和开发经营业绩等,对备案的房地产开发企业核定资质等级。房地产开发企业应当按照核定的资质等级,承担相应的房地产开发项目。具体办法由国务院建设行政主管部门制定。第三章房地产开发建设第十条 确定房地产开发项目,应当符合土地利用 总体
22、规划、年度建设用地计划和城市规划、房地产开发年 度计划的要求;按照国家有关规定需要经计划主管部门批 准的,还应当报计划主管部门批准,并纳入年度固定资产 投资计划。第一条 确定房地产开发项目,应当坚持旧区改 建和新区建设相结合的原则,注重开发基础设施薄弱、交 通拥挤、环境污染严重以及危旧房屋集中的区域,保护和 改善城市生态环境,保护历史文化遗产。第十二条房地产开发用地应当以出让方式取得;但是,法律和国务院规定可以采用划拨方式的除外。record.Enterprisesofrealestatedevelopmentshallreceiveprojectsofrealestatedevelopmen
23、tinaccordancewiththelevelofqualificationsasratified.ThedetailedmeasuresshallbeformulatedbyconstructionadministrationorganundertheStateCouncil.CHAPTERTHREEREALESTATEDEVELOPMENTCONSTRUCTIONArticle10Realestatedevelopmentprojectsshallbeascertainedinaccordancewiththerequirementsoftheoverallplanforlanduse
24、,annualplanforlanduseforconstructionandurbanplan,annualplanofrealestatedevelopment;thosethatshallbeapprovedbyadministrativeorgansforplanninginaccordancewithrelevantstateregulationsshallapplyforapprovaltoadministrativeorgansforplanningandshallbeconsolidatedintoannualassetsinvestmentsplan.Article11The
25、ascertainmentofrealestatedevelopmentprojectsshall,inaccordancewiththeprincipleofintegrationofthereconstructionoftheolddistrictsandtheconstructionofnewdistricts,focusonthedevelopmentoftheareaswheretheinfrastructureisweak,thecommunicationiscongested,theenvironmentalpollutionissevereorthehousesthatared
26、angerousandoldareconcentrated;themunicipalentironmentshallbeprotectedandimproved,andthehistoricalandculturalheritageshallbeprotected.Article12Thelandforrealestatedevelopmentshallbeobtainedthroughremising;however,thisshallnotapplywhenitcanbeobtainedthroughtransferinaccordancewiththeprovisionsofthelaw
27、sandtheregulationsoftheStateCouncil.Before the right to use land is remised or transferred, administrative organs responsible for urban planning and administrative organs responsible for real estate development of local peoples governments at or above the county level shall give written opinion on t
28、he following matters, which shall be the ground for remising or transferring the right of using land:(1) the essence, scale and duration of development of the project of real estate development;(2) the engineering requirements of urban planning;(3) the construction requirements concerning infrastruc
29、ture and public utilities;(4) the definition of property rights after the infrastructure is constructed;(5) the requirements concerning the compensation and aftercare in relocation of the project.Article 13 The system of capital cash shall be set up in real estate development; the ratio of capital c
30、ash to total investment of the project shall not be lower than 20%.土地使用权出让或者划拨前,县级以上地方人民政府城市规划行政主管部门和房地产开发主管部门应当对下列事项提出书面意见,作为土地使用权出让或者划拨的依据之(一)房地产开发项目的性质、规模和开发期限;(二)城市规划设计条件;(三)基础设施和公共设施的建设要求;(四)基础设施建成后的产权界定:(五)项目拆迁补偿、安置要求。第十三条房地产开发项目应当建立资本金制度, 资本金占项目总投资的比例不得低于2 0 %。Article14Thedevelopmentandconstr
31、uctionofrealestatedevelopmentprojectsshallhaveoverallarrangementinrelevantinfrastructure,whichshallbecarriedoutaccordingtotheprincipleofundergroundfirst,overgroundsecond.Article15Enterprisesofrealestatedevelopmentshallcarryoutthedevelopmentandconstructionoftheprojectinaccordancewiththeuseandduration
32、sofbeginningworkandconstructionasstipulatedinthecontractforremisingoftherighttouseland.Whentheworkhasnotbeenstartedafteroneyearsincethedurationofconstructionhaselapsed,chargeforidlelandwhichisequivalenttolessthan20%ofthepriceforremisingtherighttouselandmaybecollected;whentheworkhasnotbeenstartedafte
33、rtwoyearshaveelapsed,therighttouselandcanbetakenbackwithoutconsideration.However,thepreviousstipulationsshallnotapplywhenthedelayinbeginningworkiscausedbyforcemajeureoractsofgovernmentandrelevantdepartmentsunderthegovernmentortheindispensiblepreliminaryworkbeforestartingwork.Article16Therealestatepr
34、ojectsdevelopedandconstructedbyenterprisesforrealestatedevelopmentshallcomplywiththeprovisionsofrelevantlawsandregulationsandprojectquality,securitystandardsandtechnicalregulationsconcerningthereconnaissance,design,andconstructionandtheprovisionsofthecontract.第十四条 房地产开发项目的开发建设应当统筹安排配套基础设施,并根据先地下、后地上
35、的原则实施。第十五条房地产开发企业应当按照土地使用权出 让合同约定的土地用途、动工开发期限进行项目开发建 设。出让合同约定的动工开发期限满1年未动工开发的, 可以征收相当于土地使用权出让金2 0 %以下的土地闲置 费:满2年未动工开发的,可以无偿收回土地使用权。但 是,因不可抗力或者政府、政府有关部门的行为或者动工 开发必需的前期工作造成动工迟延的除外。第十六条房地产开发企业开发建设的房地产项目,应当符合有关法律、法规的规定和建筑工程质量、安 全标准、建筑工程勘察、设计、施工的技术规范以及合同 的约定。房地产开发企业应当对其开发建设的房地产开发项目的质 量承担责任。Realestatedeve
36、lopmententerprisesshallberesponsibleforthequalityoftherealestatedevelopmentprojectsdevelopedandconstructedbythem.Units of reconnaissance, design, construction and supervision shall bear corresponding responsibilities in accordance with the provisions of relevant laws, regulations and the contract.Ar
37、ticle 17 Real estate development projects shall not be delivered for use before they are completed and checked and accepted as qualified.After real estate development projects are completed, real estate development enterprises shall apply Ibr check and acceptance after completion with administrative
38、 organs responsible for real estate development of peoples governments at or above the county level of the region where the project is located. Within 3() days after receiving the application for check and acceptance after completion, the administrative organs for real estate development shall check
39、 and accept together with relevant departments or units for project quality supervision, planning, fire prevention, peoples defence, etc.Article 18 On completion of group housing real estate projects such as housing districts, they shall be checked and accepted in accordance with the provision in Ar
40、ticle 17 of the present Ordinance and the following requirements:(1) the circumstances of the implementation of the designing勘察、设计、施工、监理等单位应当依照有关法律、法规 的规定或者合同的约定,承担相应的责任。第十七条 房地产开发项目竣工,经验收合格后,方可交付使用;未经验收或者验收不合格的,不得交付使 用。房地产开发项目竣工后,房地产开发企业应当向项目所在 地的县级以上地方人民政府房地产开发主管部门提出竣工 验收申请。房地产开发主管部门应当自收到竣工验收申请 之日
41、起3 0日内,对涉及公共安全的内容,组织工程质量 监督、规划、消防、人防等有关部门或者单位进行验收。第十八条 住宅小区等群体房地产开发项目竣工, 应当依照本条例第十七条的规定和下列要求进行综合验 收:(-)城市规划设计条件的落实情况;requirementsofurbanplanning;(2)thecircumstancesoftheconstructionofnecessary(二)城市规划要求配套的基础设施和公共设施的建设情infrastructureandpublicutilitiesasrequiredbyurbanplanning;仇;(3)thecircumstancesofth

45、anRealEstateAdministrationLawofthePeoplesRepublicofChina.Article 21 Whentransferringrealestatedevelopmentprojects,thetransferorandthetransfereeshall,within30daysafterthecompletionoftheformalitiesoftheregistrationofthetransferoftherighttotheuseofland,putonrecordwithadministrativeorgansresponsibleforr
46、ealestatedevelopmentwiththecontractforthetransferofrealestatedevelopmentproject.Article 22 Whenrealestatedevelopmententerprisestransferrealestatedevelopmentprojectsandtherelocationandcompensationhavenotbeencompleted,therelevantrightsandobligationsintheoriginalcontractforrelocationandcompensationshal
47、lbetransferredtothetransfereetherewith.Thetransferorshallgivewrittennoticetothepersonsbeingrelocated.Article 23 Whensellingcommercialhousinginadvance,realestatedevelopmententerprisesshallmeetthefollowingrequirements:(1) havepaidalltheremunerationforassignmentoftherighttotheuseoflandandobtainedcertif
48、icateofthetherighttotheuseofland;(2) havecertificateofconstructionprojectplanningand人民共和国城市房地产管理法第八条、第I九条规定的条件。第二一条转让房地产开发项目,转让人和受让人应当自土地使用权变更登记手续办理完毕之日起30日内,持房地产开发项目转让合同到房地产开发主管部门备案。第二十二条房地产开发企业转让房地产开发项目时,尚未完成拆迁补偿安置的,原拆迁补偿安置合同中有关的权利、义务随之转移给受让人。项目转让人应当书面通知被拆迁人。第二十三条房地产开发企业预售商品房,应当符合下列条件:(一)已交付全部土地使用权出让金,取得土地使用权证书;(二)持有建设工程规划许可证和施工许可证;certificateofconstruction;(3) calculatedin
