2、erwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedgoodssubjecttotermsandconditionssetforthhereinafterasfollows1.BasePrice&Scopeofsupply基价和供货范围ThefollowingpricesandsuppliesarebasedontheTechnicalspecificationNo.TS-NY-11-0016Rev.lpreparedbyMitsubishiHeavyIndustries,Ltd.如下价格和供货是以厂家准备的
3、No.TS-NY-11-0016Rev.l技术资料为基础。2.quoteprice价格计算i)AlltheequipmentsareprovidedbyMitsubishiHeavyIndustries,Ltd.所有的设备由日本厂家提供。ii)Thepricementionedabovearequotedunderconditionthatalloftheitemsandquantityofferedshallbeorderedinonelotatthesametimewithinthevalidityperiod.Incaseofpartialorder,pricesshallbere-qu
4、oted.以上价格基础为所有项目以及产品数量在合同有效期内一次同时订购。如分批订购，应重新价格。iii)Thispriceissubjecttoexchangeratevariation.Variationintheexchangeratebetweentimeofquotationandthepaymentshallbedealtwithasfollows:本价格受汇率影响。价格与付款时的汇率变化应作如下处理(a)Theexchangerateattimeofsignatureofthiscontractis12.4RMB.Thus,thetotalpriceamountinJPYisJPY
5、.(BasePrice)签约时汇率为12.4RMBo因此，本价格的日元总额为（基本价格）(b)TheactualpaymentinRMBshallbeadjustedbydividingthedueamountofBasePricebytheexchangerateofJVRMBatTTBpublishedbyCentralBankofChinaonedaybeforethepaymentiftheexchangerateislessthan12.4RMB.如果汇率少于12.4/RMB,实际人民币付款应使用基本价格除以付款前一日中国中央银行公布的电汇买入价汇率日元对人民币。(c)Iftheex
6、changerateatthetimeofpaymentismorethan12.4RMB,theSellercanselectthepaymentinRMBasshowninthequotedamount如果付款时汇率高于12.4/RMB,卖方可以选用所价格格用人民币支付。iv)T/AfeeispreliminarycalculatedbasedontheunitrateasperTA,sgeneraltermsandconditionsinAttachment-2andtheestimatedman/daysshowninthetechnicalspecification.Iftheact
7、ualman/dayischangedfromtheassumption,thisT/Afeeshallbeadjusted.Thedetailcalculation,Sisattachedasannex-3.技术指导费以附件2中技术指导费的一般条款套汇率为基础。如果实际天数与设想天数有所改变，则技术指导费需调整。详细的计算如附件3所附。3.TermsofDelivery:交货条件DDPPowerStationinaccordancewiththetermsdefinedinINCOTERMS2000.采用通则2000中的DDP术语。4.DeliveryPeriod:交货期Thedeliver
8、yperiodsfortheeachunitsarethefollowingperiodstobecountedaftercontractsignedbybothpartiessubjecttoavailabilityofcargospaceofvesselorflightandapprovalofJapanesegovernmentforexport,ifnecessary.每套货物的交货期即如下自双方签署合同之日起算，同时考虑船舶或飞机的货物舱位情况以及日本政府出口许可，如有需求。ForitemsofNo.lUnit:OnorBeforedaymonthyearatDDPpowerstat
9、ion.第1套设备项目：卖方于年一月日或之前完税后交货于发电厂。ForitemsofNo.2Unit:OnorBeforedaymonthyearatDDPpowerstationSubjecttoSeller,SreceiptofLetterofIntent第2套设备项目：卖方于年一月一日或之前完税后交货于发电厂。5.Sellersliabilities卖方责任TheSellershallsupply/providethefollowingsunderthisContract:由卖方应根据合同负责供应/提供的包括：5.1.Seller1Sscopeofworkunderthisquotati
10、onisforsupplyofgoodsdescribedinAttachment-I本价格中卖方的供货范围为供应附件-1中所描述的货物。5.2.AnyworksotherthanstipulatedinArticle4.1above,including,withoutlimitation,thosewhicharelistedbelow,areoutofthescopeofSeller.上述条款4.1规定以外的工作，包括但不限于以下列明的项目均不属于卖方范围。（八）Anybankguarantee.任何银行保证(B)InstallationandInspectionatsite.现场安装和检
11、查6.Paymentconditions:付款规定50%ofthecontractualamountshallbepaidbyTTRwithin30daysaftersigningtheContractRemainingamountshallbepaidbyTTRwithin30daysafterarrivalofthegoodsatPowerStation.50%的合同金额需在签订合同后30天内电汇支付，剩余部分需在货物到达电厂后30天内电汇支付。7.WarrantyCOnditionS:保证条款SellerwarrantstoBuyerthatthePartsshallbefreefrom
12、anydefectinmaterialand/orworkmanshipforaperiodoftwelve(12)monthsafterinstallationoreighteen(18)monthsfromthedateofFOBdatewhichevercomesearlier.(WarrantyPerioer)卖方向买方保证所供应的部件完全不会出现任何材料瑕疵和/或做工欠缺，保证期限为安装后十二(12)个月或自日本港口发货之FOB日起算十八(18)个月，以先到者为准(质保期)。IncasethatthedefectmentionedintheaboveisfoundduringtheW
13、arrantyPeriod,Sellershallatitsoption,promptlyrepairatnoextracosttoBuyerordelivertothesiteoftheProjectreplacementParts.Insuchcase,theWarrantyPeriodforsaiditemorpartshallbeextendedforaperiodof12monthsfromthedateofshipmentInnocaseshallSellerhaveanyliabilitiesfordefectswhetherdiscoveredornot,includingla
14、tentdefects,beyondtheexpirationof12monthsfromthedateofdeliveryoftheoriginalParts.如在质保期内出现上述缺陷，卖方应根据需要立即为买方进行修复或向项目现场提供替换部件，并且不另行收费。在这种情况下，该部件的质保期应自发货之日起再延长12个月。无论何种情况下，在原部件交付后超过12个月的，卖方将不对任何未发现或已发现的缺陷，包括隐蔽瑕疵等负责。8.Confidentiality保密条款除法律规定或合同另有约定外，未经发包人同意，承包人不得将发包人提供的图纸、文件以及声明需要保密的资料信息等商业秘密泄露给第三方.除法律规
15、定或合同另有约定外，未经承包人同意，发包人不得将承包人提供的技术秘密及声明需要保密的资料信息等商业秘密泄露给第三方。Exceptotherwisestipulatedbylaworcontract,thecontractorshallnot,withoutthepriorconsentoftheemployer,discloseordivulgetothethirdpartywiththedrawings,documents,whichareprovidedbytheemployerandthecommercialsecretswhicharestatedbytheemployerasconf
16、identiality.Exceptotherwisestipulatedbylaworcontract,theemployershallnot,withoutthepriorconsentofthecontractor,discloseordivulgetothethirdpartywiththedrawings,documents,whichareprovidedbythecontractorandthecommercialsecretswhicharestatedbythecontractorasconfidentiality.9.FORCEMAJERE不可抗力在合同有效期内，任何一方因
17、不可抗力事件导致不能履行合同，则合同履行期可延长,其延长期与不可抗力影响期相同。不可抗力事件发生后,应立即通知对方，并提交有关机构出具的证明。不可抗力发生后，甲乙双方均应采取措施尽量避免和减少损失的扩大，任何一方当事人没有采取有效措施导致损失扩大的，应对扩大的损失承担责任。Where,duringthetermofthecontract,eitherpartyisunabletoperformthecontractduetoaneventofforcemajeure,theperiodofperformanceofthecontractmaybeextendedforthesameperiod
18、astheperiodaffectedbytheforcemajeure.Theotherpartyshallbenotifiedimmediatelyupontheoccurrenceoftheeventofforcemajeureandshallsubmitacertificateissuedbytherelevantauthority.Aftertheoccurrenceofforcemajeure,bothpartiesshalltakemeasurestoavoidandreducetheexpansionoflossesasfaraspossible.Ifeitherpartyfa
19、ilstotakeeffectivemeasuresleadingtotheexpansionoflosses,itshallbeliablefortheexpandedlosses.10.LimitationofLiability赔偿责任限制TheaggregateliabilityoftheSeller,onallclaimsofanykind,whetherincontract,warranty,liquidateddamages,indemnity,tort(includingnegligence),strictliability,errorsoromissionorotherwise
20、,arisingoutoftheperformanceorbreachofthisContract,theuseofanyPartsshallnotexceed50%ofthetotalvalueoftheContractTheBuyershallpresentsatisfactoryevidencethatthedamageliesintheworkofthisContract.Fortheavoidanceofdoubt,allliabilityshallterminateupontheexpirationofthewarrantyperiodunderthisContract.卖方针对所
21、有索赔要求的总赔偿责任,无论是根据合同规定、保证规定、违约偿金规定、赔偿规定、民事规定（包括疏忽）、严格赔偿责任、错误或疏忽或其他规定提出的违约索赔要求均不得超过合同总价值的50%o买方应提出充分证据证明损坏情况符合合同之规定。为避免分歧,所有赔偿责任应在本合同质保期结束后一并失效。Innoevent,whetherasaresultofbreachofcontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,shalltheSeller,sPartiesbeliableforlossof
22、profitorrevenues,lossofbusiness,lossofuseoftheplantincluding,butnotlimitedto,GTLSand/oranyassociatedequipment,costofcapital,costofsubstituteequipment,facilities,servicesorreplacementpower,downtimecosts,claimsofBuyer1scustomersforsuchdamages,orforanyspecial,consequential,collateral,downstream,inciden
23、tal,indirect,punitiveorexemplarydamages.无论何种情况下，即不论是否因违反合同规定、保证规定、赔偿规定、民事规定(包括疏忽大意)、严格赔偿责任，或其他规定，签约双方均无需对利润或收入损失、业务损失、工厂使用性损失、包括但不限于任何附属设备、资金成本、替代设备、设施、服务成本或更换电源、停机成本、买方客户因损坏的索赔或任何特殊、间接、连带、后续、意外、非直接、惩罚性或超额赔偿等负责。11.LiquidatedDamages违约偿金IftheSellerfailtodeliveryanyPartinaccordancetothedeliveryschedule
24、intheContract,theSellershallpayliquidateddamagestotheBuyerforthefailuretodeliverthePartsattherateof0.2%ofthedelayedPartpricepermonth,whichoneishigheruptoamaximumof2%oftheContractvalue.如卖方未能根据合同规定按时交付部件货物的，卖方应向买方支付违约偿金每月按未交付部分货物价值的02%计收最高至合同总价的2%。Theforegoingliquidateddamagesshallbeinlieuofallactuald
25、amagesandthepaymentofliquidateddamagesshallbesoleandexclusiveremedyofBuyerinrespectofanyfailurebytheSellertodeliverthePartsinaccordancewiththisContract.上述违约偿金应取代所有实际损失且违约损失的支付应视同卖方根据合同规定就未能交付部分货物而向买方提供的唯一补偿。12.OtherTermsandConditions其他规定12.1InTestimonyWhereof,thisContractshallcomeintoeffectaftertheC
26、ontractinquestionismadeandsignedbythePartiesheretoinduplicate,andeitherPartywillholdonecopy.本合同由双方代表签字后生效，一式两份，双方各执一份12.2InWitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedthedayandyearfirstbeforewritteninaccordancewiththeirrespectivelaws.本协议书谨于前文所载明之年月日，由立约双方根据其有关的法律签署并开始执行。特此证明。PartyA(Signature)甲方(签章)PartyB(Signature)乙方(签章)
