5、319NEOAircraft-anyoralloftheA319-100modelaircraftincorporatingtheNewEngineOptionsoldbytheSellerandpurchasedbytheBuyerpursuanttothisContract,includingtheA319NEOAirframeandallcomponents,equipment,partsandaccessoriesinstalledinoronsuchaircraftandtheapplicableA319NEOPropulsionSysteminstalledthereonuponD

9、ndetail,theparticularchangetobemadetoanySpecificationandtheeffect,ifanyzofsuchchangeondesign,performance,weight,DeliveryDateoftheAircraftaffectedtherebyandonthetextofanySpecification.AnSCNmayresultinanadjustmentoftheBasePriceoftheAircraft,whichadjustment,ifanyzwillbespecifiedintheSCN.Inaddition,atth
10、erequestoftheBuyer,theSellerwillprovidetotheBuyerApprovalofSCNsbytheSellerwillnotbeunreasonablywithheld,conditionedordelayed.双方之间可以通过书面合同实质性地按照附件B-I中所列的格式（各方称为规范变更通知或SCN）对任何规范进行修订，并列出规格变更通知的飞机实施等级，并列出详细内容，将对任何规范进行特定的更改，以及这种更改对受影响的飞机的设计、性能、重量、交付日期以及任何规范文本的影响（如有）。规格变更通知可能会导致飞机基本价格的调整，如果有调整，将在规格变更通知中予以
11、明确。此外，应买方的要求，卖方将向买方提供规格变更通知的批文，卖方不会无故地扣留，限制或延迟提供该批文。2.2.2 DevelopmentChanges开发变更AnySpecificationmayalsobeamendedtoincorporatechangesdeemednecessarybytheSellertoimprovetheAircraftthatisthesubjectofsuchSpecification,preventdelayorensurecompliancewiththisContract（DevelopmentChanges）,assetforthinthisCla

13、CFM56-5B6/3发动机或ImemationalAeroEnginesV2524-A5发动机(选择后即为A319推进系统)。2.4.2 EachA320AirframewillbeequippedwithasetoftwoCFMInternationalCFM56-5B43enginesorInternationalAeroEnginesV2527-A5engines(suchsetzuponselection,an,A320PropulsionSystem).每架A320飞机都将配备一套两台CFMInternationalCFM56-5B43发动机或InternationaIAeroEn
14、ginesV2527-A5发动机(经选择，该套件为mA320推进系统)。2.4.3 ContractualDefinitionFreeze合同定义冻结TheCustomizationMilestoneChartwillspecifythedate(s)bywhichthecontractualdefinitionofeachAircraftisrequiredtobefinalizedandallSCNsarerequiredtohavebeenexecutedbytheBuyerinordertoenabletheincorporationofsuchSCNsintothemanufactu

21、promulgated,becomeseffectiveand/oraninterpretationofanyIawzruleorregulationisissuedbyEASAthatrequiresanychangetotheSpecificationforthepurposesofobtainingtheExportCertificateofAirworthiness(aChangeinLaw),theSellerwillmaketherequiredmodificationandthepartiesheretowillsignanSCNpursuanttoClause2.2.1.如果飞

25、haveaccesstothecockpitatanyonetimeaccompanytheSellersrepresentativesontheTechnicalAcceptanceFlight,duringwhichtheBuyersrepresentativeswillcomplywiththeinstructionsoftheSellersrepresentatives;and最多有一个人可以随时进入驾驶舱陪同卖方代表参加技术验收飞行，在此期间买方代表将遵守卖方代表的指示；和(iii) willbeentitledtohaveapilotoftheBuyerconductroutine
26、flightmaneuversandtestsduringtheTechnicalAcceptanceFlightasmaybereasonablyrequiredtodemonstratetotheBuyerthesatisfactoryfunctioningoftheAircraftzsubjecttothesupervisionandoperationalcontroloftheSellersflighttestpersonnelatalltimesduringsuchflightmaneuversandtests.有权要求买方的飞行员在技术验收飞行期间进行合理的要求的常规飞行机动动作和

28、ClaimasthoughthedefecthadbecomeapparentimmediatelyafterDeliveryofsuchAircraft.买方和卖方可以同意交付此类飞机，并随后由卖方承担费用纠正缺陷，而不是接受延迟交付任何此类飞机，或者买方可选择接受交付，并随后提交保修索赔，因为在交付此类飞机后，该缺陷立即变得明显。12.1.6.1ClaimDetermination索赔确定DeterminationastowhetheranyclaimeddefectinanyWarrantedPartisavalidWarrantyClaimwillbemadebytheSellerandwillbebasedupontheclaimdetails,reportsfromtheSellersRepresentatives,historicaldatalogs,inspections,tests,findingsduringrepair,defectanalysisandotherrelevantdocuments;由卖方确定任何保修部分中的任何索赔缺陷是否为卖方提供的有效保修索赔，并将基于索赔详情、卖方代表的报告、历史数据记录、检查、试验、修理期间的调查结果、缺陷分析和其他相关文件；
