Agreement5. 1EffectiveDateThisagreementiseffectivebythesignaturedateandcontinuouslyuseduntil6monthafterstopofsupplyingproducttoBuyer.4.2SafetyandenvironmentalrequirementSuppliershallcomplywithallrelatedNationalandLocalsafetyandenvironmentalregulationsduringtheirmanufacture

5、placefirmpurchaseorderaccordingtotheactualdemands.TheSupplierwillsendorderconfirmationbyfaxwithaconfirmeddeliverydatenolaterthan3calendardaysafterreceiptoftheorder.Failureinreturningtheconfirmationwillberegardedasanorderaccepted.4.3.3OrdercancellationThebuyerhastherighttocancelitspurchaseorderwithin
6、calendardaysafterorderplacedwithoutanysurchargeunlessotherwisespecifiedinGPAAppendix1(PurchaseDetails).4.3.4ValidityofpricesAl1pricesagreedinGPAAppendix1(PurchaseDetails)arevalidfor1calendaryear.Duringthisperiod,theSupplierisprohibitedtoincreasetheprice,unlessagreedbyBuyerinwriting.Afterthisperiodth
7、eSupplierisrequiredtodecreasethepricesascostdown,theBuyerwillreviewthedetailswiththeSupplierattheendofeverycalendaryear.Forout-sourcingparts,iftheBuyerprovidestherawmaterialtotheSupplier,buttheagreedyieldrateinGPAAppendix1(PurchaseDetails)isnotachieved,theSupplierisobligatedtopaytheexceedingrawmater
8、ialchargetotheBuyer.4.3.6TermsofdeliveryNormalTermsofDeliverybetweentheBuyerandtheSupplierisaccordingtoIncoterms2000,unlessotherwisespecifiedinthePurchaseOrder.4.3.7TermofpaymentNormalTermsofPaymentsbetweentheBuyerandtheSupplierisfrominvoicedate,unlessotherwisespecifiedinthePurchaseOrder.4.3.8Packag
9、ing,shipmentanddeliveryrequirementTheSuppliershalldeliverthesuppliedproductsdirectlytothewarehousedesignatedbytheBuyer,otherwisetheBuyerwillnotshoulderthematerialcharge.,PackagematerialshallensuremeetingBuyer,sproductqualityrequirementduringdeliveryandtransfer.,Outsidepackaginglabelshallidentifyrela

12、oductscompliancewithBuyersrequirements.Thismaybeoutgoinginspectionreports,SPCresults,functionaltests,etc.4.3.9DeliveryToleranceAtoleranceof,5%tothepurchaseorderquantityisallowed,unlessotherwisespecifiedinthePurchaseOrder.4.3.10DocumentationRequirementTheSuppliershallprovidesufficientshippingdocument
13、supondeliveryaspertheBuyer,srequirement,otherwisethepaymentwillnotbeeffectuated,theSupplierwillshoulderthelossresultingfromsuchfailureofprovidingsufficientdocumentation.4.3.11DeliverydelayrequirementsSupplierisobligedtonotifyBuyerinwritingimmediatelyifthereisanyreasontosupposethatthetimeofdeliveryca
14、nnotbemet,andtheactionstoachievethebestpossibledeliverytime.Thenotificationmustclearlystatethecauseofthedelay,aswellastheprobablelengthofthedelayinrelationtotheagreeddeliverytime.IftheBuyerprovidesSupplierwithtoolsorequipment,orifthetoolorequipmentisalreadyorderedbytheBuyer,buttheSupplierkeepsitforp
15、roduction,thepropertyofthetoolorequipmentbelongstotheBuyer.a) TheSupplierisonlyallowedtoutilizethetoolorequipmentunderthewrittenpermissionfromtheBuyer.b) TheSupplierisprohibitedtoamendthetoolortheequipmentwithoutBuyer*Swrittenpermissionc) TheSuppliermustmaintainandoperatethetoolortheequipmentproperl

20、epartssuppliedbySuppliermustfulfilallthespecificationandcriteriathatBuyerrequiresintheareasfunction,dimension,appearance,andreliability.TheSupplierisobligatedtoverifylatestrevisionofspecificationfromspecifyingsource,priortomanufacturing.Thedeliveredmaterialmustnotcontainanyfaultswhatsoever.Ifanydevi
21、ationisknown,theBuyermustbeinformedinwritingimmediately.Useandanyselling-onofthedeliveredmaterialmustnotconf1ictwithstatutoryregulationsorathirdparty,SpatentrightsorotherintelIectualpropertyrights.TheBuyer,Sexaminationoftheproduct(s)priortodeliverydoesnotinanywayexempttheSupplierfromitsresponsibiIit
22、yinaccordancewiththeagreement.4. 4.3ProductqualificationSuppliershouldprovidetotaldetai1verificationreportaccordingtoBuyersrequirementsbeforefirstshipment,whichmayinclude:,CertificateofConformance,Dimensionalreports,Capabilityandyieldreports,GaugeR&R,Mechanicalinspectionspecification,Reliabilitycrit
23、eria,Packingandshippingcriteria,etc.4.4.4Non-conformingmaterialBuyerdoesnotacceptanynon-conformingproductcausedbySuppliersmanufacturingequipment,resourceschangingetc.ifnotagreedinwritinginadvance.4.4.5OutgoingAQLThesupplieroutgoingAQLshallbetighterthanorequalBuyer,sincomingAQL.1.1.1 6Continuousimpro
24、vementsSupplierhastheresponsibilitytomakecontinuousimprovementinordertoachieve500DPPMonthesuppliedproductstoBuyer.1.1.2 4.7PresentationofverificationsIfrequiredbyBuyer,Suppliershallofferallproducts*inspectionandidentificationrecordsifnecessary.4.4.8 DisagreementontestingresultIfanydisagreementbetwee
25、nBuyerandSupplieroverinspectionresult,Supplierhastheresponsibilitytoofferanyinstrumentforinspection,yetBuyerisinchargeofmakingfinaldecisiononacceptancelevel,inco-operationwiththeSupplier.4.4.9 StoringofqualityrelatedrecordsSupplier*squalityrelatedrecordsshouldbekepttillstopsupplyingtothebuyerplusone
26、calendaryear,unlessotherwiseisagreedinwritingbetweenBuyerandSupplier.4.5ChangemanagementIncaseofanychanges,whichmayorwillaffectthequalityordeliveryofthesuppliedproducts,theSuppliershallassoonaspossiblegiveBuyerwrittennoticedescribingthechangesandpresentingthetimeschedulefortheirimplementation.TheSup

31、mediatelyprovideBuyerwithdetailed,relevantinformationregarding:,Thenatureandextentoftheproblem,ThenecessaryshorttermcorrectiveactionstakenandinformationtoBuyeronthedeliveredlotsbatchesordersthatareaffected,Rootcauseanalysesoftheproblem,Evaluatedpotentialcorrectiveactions,Permanentcorrectiveactions,i
32、ncludingtheirimplementationdateandprovedeffectiveness,Preventiveactionsandtheirimplementationdate4.6.2IfBuyersite,sproductionlinebreakdowncausedbySupplier,squalityordeliveryproblemBuyermustgiveSupplierwrittennoticeassoonaspossible.Suppliershallimmediatelynotifybuyerofshort-termcorrectiveactionsinord
33、ertominimizeBuyer,sproductionlinebreakdownperiod.4.6.3Non-conformingmaterialfoundonBuyer,SsitewillbetreatedaccordingtoBuyersprocedures.BuyerwillinformSupplierinwritingandrequestthenecessaryactionstobetakeninordertominimizetheeffectofthenon-conformancescausedbySupplier.SuppliershallreplytoBuyer,scomp
34、laintaccordingtoBuyersrequestintheSuppliercomplaintreport.4.6.4TechnicalsupportIfBuyerdeemssuppliedproductsmightbethecauseofanytechnicalproblemsforBuyer,orBuyer,sCustomer,theSuppliershallprovideBuyerwithtechnicalsupport.Technicalsupportmightconsistofananalysisoftheproblemwithrespecttothesuppliedprod

36、msinthebestway.TheinformationreceivedduringthissystemandprocesscheckwillnotbeofferedtoathirdpartybyBuyerwithoutSupplierswrittenapproval.4.6.6SortingBuyershallnotperformanysortingoutofnon-conformancerawmaterialunlessemergencysituation.AnysortingofmaterialatBuyer,sfacilitywillbeagreeduponbybothBuyeran
37、dSuppliercasebycase.4.6.7ReportsSuppliershallsummarisequalityanddeliveryperformanceandfeedbacktoBuyerifrequired,BuyershallalsoreviewthequalityanddeliveryperformanceandfeedbacktoSupplier.BuyerwillarrangequarterlymeetingwiththeSuppliertoreviewandsummarisequalityanddeliveryperformanceifnecessary.4.6.8C
38、onsequencesofcontinualdeviationIfthree(3)continuouslots,orfour(4)lotswithinafour(4)monthsperiodcannotpassthein-cominginspection,orifSupplierisfailingtopassBuyer,stwo(2)continuouslyquarterlyratings,orthepartssuppliedbySuppliercausessignificanteconomicallosstoBuyer,SuppliermayloosetheirApprovedsupplie
39、rstatusandwillthennotbeallowedtosupplyanypartstoBuyeruntiltheSupplierisapprovedagain.4.7SupplierscompensationresponsibilitytowardsBuyer4.7.1NonconformingmaterialTheSuppliermustremedyanyfailuresimmediately,oratatimeconvenienttotheBuyer,attheSupplier,sexpense.IftheSupplierfailstoremedythefailureswithi
40、nreasonabletime,theBuyerisentitledtotakeactionsBuyerdeemnecessarytoremedythefailures,eitherthemselvesorthroughothers,attheexpenseandriskoftheSupplier.ThesameappliesifwaitingfortheSuppliertoremedythefaultwouldcausetheBuyermaterialinconvenience.InsuchcasestheSupplierwillbenotified.4.7.2Buyersproductio
41、nlinebreakdownIfBuyerhasproductionlinebreakdownandthecauseofthisproductionlinebreakdowniscausedbySupplier*squalityordeliveryperformance,BuyerhavetheopportunitytochargetherelatedcosttoSupplier.CompensationdetailshallbediscussedandagreedonbySupplierandBuyercasebycase.4.7.3ReturnedpartsfromBuyer,sCusto
42、merIfBuyerreceivesreturnedpartsfromfinalcustomer,andthecauseforthosereturnedpartsarerawmaterialdefects,whicharemadebytheSupplier,BuyerhavetheopportunitytochargetherelatedcosttoSupplier.CompensationdetailshallbediscussedandagreedonbySupplierandBuyercasebycase.4.7.4Buyer,sCustomerproductionlinebreakdo
43、wnIfBuyer,sCustomerhasproduction1inebreakdownandthecauseofthisproductionlinebreakdowniscausedbyBuyer,sSupplier,squalityordeliveryperformance,BuyerhavetheopportunitytochargetherelatedcosttoSupplier.Compensationdetailshal1bediscussedandagreedonbySupplierandBuyercasebycase.4.7.5Orderterminationordiscou

45、ement4.7.6ActofneglectInanyevent,theBuyerisentitledtoclaimcompensationpursuanttoapplicablelawshouldtheSupplierorathirdpartyforwhomtheSupplierisresponsibleactofneglect.4.8Forcemajeure,Thepartiesmayberelievedfromtheirrespectiveobligationstotheextentthattheycanprovethattheyhavebeenpreventedfromkeepings
46、uchobligationsduetoforcemajeure.,TheaffectedPartyshallimmediatelynotifytheotherPartyoftheforcemajeuresituation.IfaPartyfailstogivesuchnotice,itshallbeprecludedfromclaimingtherighttoberelievedofitsobligations.,Incaseofforcemajeure,eachPartyshal1beresponsibleforitsowncostsresultingfromtheforcemajeures
47、ituation4.9TerminationThisagreementiseffectivefromthesignaturedatebybothparties.Ifanyofthepartiesrequiresterminatethisagreement,awrittennoticemustbegiventothesecondpartydaysinadvance.Afterthesecondparty,swrittenconfirmationorifanewupdatedagreementbetweenthebuyer&thesupplieriseffected,theagreementmaybeterminated.4.10DisputesAnydisputebetweenthePartiesarisingoutofthispurchaseagreementshallbefinallydecidedbyarbitrationpursuanttoapplicablerulesandregulation.ThelanguageofarbitrationshallbeEnglish.AllBuyer,sdocumentsincludingdrawing,technicaldataandsamplesh
